TERMS & CONDITIONS OF SERVICE

1. Binding Legal Agreement

By requesting a quote, booking services, enrolling in a membership plan, submitting payment, or permitting Palm Breeze Crystal Clean (“Company”) to perform services at your property, you enter into a legally binding agreement with the Company.


2. Scope of Service

Palm Breeze Crystal Clean provides professional exterior window cleaning services only.

Services include:

  • Exterior glass cleaning

  • Tracks

  • Sills

  • Frames

  • Optional screen cleaning (if selected)

Services do NOT include:

  • Interior cleaning

  • Glass restoration

  • Seal repair

  • Structural repair

  • Hard water stain removal

  • Chemical stain removal

  • Fabrication debris removal

  • Permanent mineral deposit correction

Unless expressly agreed in writing.


3. Hard Water & Restoration Disclaimer

Hard water stains, mineral deposits, oxidation, corrosion, etched glass, fabrication debris, and permanent staining are considered existing glass damage.

Standard window cleaning does not remove chemically bonded or embedded stains.

Remaining imperfections after cleaning do NOT constitute incomplete work, negligence, or service failure.


4. Estimates & Pricing Adjustments

Instant online quotes are estimates based solely on customer-provided information.

Final pricing may be adjusted if:

  • Pane count differs

  • Building height differs

  • Access conditions differ

  • Safety risks exist

  • Tempered or specialty glass was not disclosed

  • Site conditions differ from representation

Customer agrees to pay adjusted pricing if service proceeds.


5. Minimum Service Fee

A minimum service charge applies regardless of pane count.

Customer acknowledges and agrees this minimum is enforceable and non-negotiable.


6. Access & Property Conditions

Customer must:

  • Provide safe and unobstructed access

  • Secure pets

  • Remove obstacles

  • Disclose fragile, defective, or tempered glass

Company is not responsible for:

  • Pre-existing scratches

  • Seal failure

  • Oxidation

  • Manufacturing defects

  • Structural weakness

  • Landscaping instability

  • Irrigation leaks

  • Deteriorated frames

  • Latent defects revealed during cleaning


7. Limitation of Liability

To the fullest extent permitted under Florida law:

Company’s total liability is strictly limited to the amount paid for the specific service rendered.

Company is not liable for:

  • Indirect damages

  • Incidental damages

  • Consequential damages

  • Punitive damages

  • Lost income

  • Business interruption

  • Emotional distress


8. Indemnification

Customer agrees to indemnify and hold harmless Palm Breeze Crystal Clean, its owners, managers, employees, and contractors from any claims, damages, liabilities, or expenses arising from:

  • Unsafe property conditions

  • Undisclosed hazards

  • Third-party claims

  • HOA disputes

  • Neighbor claims


9. Payment Disputes & Chargebacks

Customer agrees to provide written notice and allow reasonable opportunity to resolve any dispute prior to initiating a chargeback.

Improper or fraudulent chargebacks may result in:

  • Recovery fees

  • Collections action

  • Legal action

  • Attorney fees

  • Reporting to credit agencies


10. Non-Disparagement Clause

Customer agrees not to publish or communicate knowingly false, misleading, or defamatory statements about the Company.

Customer agrees to provide written notice of concerns and allow reasonable opportunity for resolution before posting public complaints or reviews.

Nothing herein restricts lawful consumer rights to express honest opinions.


11. Arbitration & Venue

All disputes shall be resolved exclusively through binding arbitration in Broward County, Florida.

Customer waives:

  • Jury trial

  • Class action participation

  • Consolidated claims


12. Governing Law

These Terms & Conditions are governed by the laws of the State of Florida.




MEMBERSHIP


1. Membership Eligibility & Initial Service Requirement

Membership enrollment requires completion of an initial exterior deep clean service at full quoted price.

Membership billing begins one (1) month after completion of the initial service.


2. Membership Plans

Palm Breeze Crystal Clean offers the following recurring service plans:

Maintenance Plan – 2 Visits Per Year

  • 10% discount off standard deep clean pricing

  • Exterior glass, tracks, sills, and frames included

  • Additional service visits available at 10% discounted rate

VIP Plan – 4 Visits Per Year

  • 30% discount off standard deep clean pricing

  • Exterior glass, tracks, sills, and frames included

  • Additional service visits available at 30% discounted rate

  • Priority scheduling

Plan selection is confirmed at enrollment.


3. Billing Authorization

By enrolling, Member authorizes the Company to:

  • Charge the provided payment method automatically

  • Process recurring monthly payments

  • Charge for additional approved services

Billing occurs monthly and is divided evenly across the annual service value.

A valid payment method must remain on file at all times.


4. Payment Terms

If a payment fails:

  • Service may be suspended

  • Late fees may apply

  • Collection procedures may be initiated

Member agrees to resolve payment disputes directly with Company prior to initiating any chargeback.

Improper or fraudulent chargebacks may result in:

  • Recovery fees

  • Collection costs

  • Legal action

  • Attorney’s fees


5. Minimum Commitment & Cancellation

Membership may be canceled after two completed service visits.

If Member cancels prior to two completed visits:

  • All previously discounted services may be retroactively adjusted to full non-discounted pricing

  • Outstanding balances become immediately due

Cancellation requests must be submitted in writing.


6. Scheduling & Access

Member agrees to:

  • Provide safe and unobstructed access

  • Secure pets

  • Remove obstacles

  • Disclose fragile or tempered glass

Missed appointments caused by denied access may result in rescheduling fees.


7. Service Scope

Membership covers:

  • Exterior glass cleaning

  • Tracks

  • Sills

  • Frames

Membership does NOT include:

  • Hard water stain removal

  • Glass restoration

  • Interior cleaning

  • Repair of seals or structural defects


8. Pre-Existing Conditions

Member acknowledges that cleaning may reveal:

  • Seal failure

  • Oxidation

  • Scratches

  • Fabrication debris

  • Structural weakness

Company is not responsible for pre-existing conditions.


9. Indemnification

Member agrees to indemnify and hold harmless Palm Breeze Crystal Clean, its owners, employees, and contractors from any claims arising from:

  • Unsafe property conditions

  • Undisclosed hazards

  • Third-party claims


10. Limitation of Liability

To the fullest extent permitted under Florida law:

Company’s total liability shall not exceed the amount paid for the most recent service.

Company shall not be liable for indirect, incidental, consequential, or punitive damages.


11. Commercial & HOA Accounts

If enrollment is for a commercial property or HOA-managed property:

  • The signatory confirms authority to bind the property owner or association

  • The property assumes responsibility for access compliance and safety

  • HOA approval and vendor authorization are Member’s responsibility


12. Arbitration & Governing Law

All disputes shall be resolved through binding arbitration in Broward County, Florida.

Member waives jury trial and class action participation.

This Agreement is governed by the laws of the State of Florida.


13. Entire Agreement

This Agreement, together with the Company’s Terms & Conditions and Privacy Policy, constitutes the entire agreement between the parties.



PROPERTY DAMAGE WAIVER & ASSUMPTION OF RISK AGREEMENT

This Property Damage Waiver & Assumption of Risk Agreement (“Waiver”) is entered into between Palm Breeze Crystal Clean (“Company”) and the property owner or authorized representative (“Customer”).

By authorizing service, Customer agrees to the following:


1. Acknowledgment of Pre-Existing Conditions

Customer acknowledges that window cleaning may reveal pre-existing conditions including but not limited to:

  • Failed window seals

  • Scratches

  • Etching

  • Fabrication debris

  • Oxidation

  • Corrosion

  • Hard water staining

  • Mineral deposits

  • Structural weakness

  • Deteriorated frames

  • Loose or compromised glass

Customer agrees that the Company is not responsible for pre-existing damage or defects.


2. Hard Water & Permanent Staining

Customer understands that:

  • Hard water stains

  • Calcium deposits

  • Mineral buildup

  • Etched glass

  • Chemically bonded contaminants

Are considered permanent glass damage.

Standard window cleaning does not remove embedded stains.

Remaining marks after service do NOT constitute negligence or incomplete work.


3. Tempered, Tinted, or Specialty Glass

Customer agrees to disclose any:

  • Tempered glass

  • Tinted glass

  • Low-E coatings

  • Aftermarket film

  • Specialty or fragile glass

Failure to disclose specialty glass releases Company from liability for defects related to manufacturer weaknesses or pre-existing conditions.


4. Landscaping & Exterior Property Risk

Customer acknowledges that service may involve:

  • Ladder placement

  • Hose routing

  • Water runoff

Company is not responsible for:

  • Pre-existing landscaping instability

  • Irrigation leaks

  • Soil erosion

  • Deteriorated surfaces

  • Cracked stucco

  • Loose siding

  • Rotten wood

  • Pre-damaged screens


5. Access & Safety Certification

Customer certifies that:

  • Property access areas are safe

  • Walkways are stable

  • Surfaces meet Florida building code standards

  • No hidden hazards exist

Customer assumes responsibility for injuries or damages arising from unsafe conditions not disclosed to Company.


6. Assumption of Risk

Customer voluntarily assumes all risks associated with cleaning aged, oxidized, deteriorated, or previously damaged glass.

Customer understands that cleaning may expose previously hidden defects.


7. Limitation of Liability

To the fullest extent permitted by Florida law:

Company’s total liability for any claim shall not exceed the amount paid for the specific service performed.

Company is not liable for:

  • Indirect damages

  • Consequential damages

  • Business losses

  • HOA penalties

  • Tenant complaints

  • Lost income


8. Indemnification

Customer agrees to indemnify and hold harmless Palm Breeze Crystal Clean, its owners, managers, employees, and contractors from:

  • Third-party claims

  • HOA disputes

  • Neighbor claims

  • Property management claims

  • Claims arising from undisclosed hazards

  • Claims arising from pre-existing conditions


9. Commercial & HOA Properties

For commercial or HOA-managed properties:

The authorized signatory confirms:

  • Legal authority to bind the property owner or association

  • Vendor approval has been obtained

  • Required access permissions are secured

The property owner or HOA assumes responsibility for:

  • Common area safety

  • Structural compliance

  • Building code adherence


10. Entire Agreement

This Waiver is incorporated into and forms part of:

  • The Company’s Terms & Conditions

  • Membership Agreement (if applicable)

COMMERCIAL PROPERTY SERVICE ADDENDUM

This Commercial Property Service Addendum (“Addendum”) supplements and forms part of the Palm Breeze Crystal Clean Terms & Conditions and any applicable Membership Agreement.

This Addendum applies to all commercial, mixed-use, HOA-managed, retail, office, industrial, or multi-tenant properties (“Property”).

By authorizing service, the undersigned (“Client”) agrees to the following:


1. Authority to Bind Property

The signatory represents and warrants that they have full legal authority to:

  • Bind the property owner

  • Bind the management company

  • Bind the HOA or association

  • Approve vendor services

If signatory lacks authority, they assume personal responsibility for payment and compliance.


2. Vendor Approval & Access Compliance

Client confirms that:

  • Vendor approval has been obtained

  • Required COI (Certificate of Insurance) requirements have been reviewed

  • Access permissions are secured

  • Security clearance procedures are completed

  • HOA or board approval has been obtained where required

Delays caused by tenant restrictions, security procedures, or HOA approval processes do not relieve payment obligations.


3. Tenant & Third-Party Liability Disclaimer

Company is not responsible for:

  • Tenant business interruptions

  • Lost revenue

  • Customer complaints

  • Noise complaints

  • Water runoff concerns

  • Temporary access obstruction

  • Parking interference

Client assumes responsibility for notifying tenants of scheduled service.


4. Common Areas & Code Compliance

Client acknowledges that:

  • Company does not inspect structural integrity

  • Company does not certify code compliance

  • Company does not verify ADA compliance

  • Company does not evaluate OSHA compliance

Client assumes full responsibility for:

  • Building code compliance

  • ADA accessibility compliance

  • OSHA compliance

  • Structural integrity

  • Common area safety


5. Pre-Existing Structural & Glass Conditions

Company is not responsible for:

  • Failed seals

  • Oxidized aluminum

  • Deteriorated caulking

  • Loose glazing

  • Aging high-rise glass

  • Improper installation

  • Fabrication debris

  • Scratches

  • Hard water staining

  • Corrosion

  • Rust transfer

Cleaning may expose hidden defects.


6. Water Usage & Runoff

Client acknowledges that:

  • Exterior cleaning may involve water runoff

  • Minor splash may occur

  • Temporary moisture on surfaces is expected

Company is not liable for:

  • Slip incidents due to failure to post warnings

  • Poor drainage design

  • Existing leaks

  • Improper grading

Client agrees to notify tenants and post warnings if required.


7. Equipment & Access Areas

Company may use:

  • Ladders

  • Water-fed poles

  • Extension equipment

  • Ground-based systems

Company does NOT provide:

  • Lift rental

  • Rope access

  • High-rise swing stage

  • Structural anchoring

Unless separately contracted in writing.


8. Indemnification (Commercial Standard)

Client agrees to indemnify, defend, and hold harmless Palm Breeze Crystal Clean, its owners, officers, managers, employees, and contractors from:

  • Tenant claims

  • Third-party injury claims

  • HOA disputes

  • Building code violation claims

  • Structural defect claims

  • Water intrusion claims

  • Slip-and-fall claims related to property condition

  • Any claim arising from pre-existing conditions


9. Limitation of Liability (Commercial Enhanced)

To the fullest extent permitted under Florida law:

Company’s total liability is strictly limited to the amount paid for the specific service performed.

Company shall not be liable for:

  • Business interruption

  • Lost profits

  • Tenant rent disputes

  • Special damages

  • Consequential damages

  • Punitive damages


10. Insurance Acknowledgment

Company maintains general liability insurance.

Client acknowledges that Company’s insurance does not:

  • Cover building defects

  • Guarantee structural safety

  • Cover pre-existing property deterioration

Certificates of Insurance are provided upon written request.


11. Force Majeure

Company shall not be liable for delays or failure to perform due to:

  • Severe weather

  • Storms

  • Hurricanes

  • Lightning

  • Government shutdown

  • Labor shortages

  • Equipment failure beyond reasonable control


12. Arbitration & Venue

All disputes shall be resolved exclusively through binding arbitration in Broward County, Florida.

Client waives jury trial and class action participation.


13. Governing Law

This Addendum is governed by the laws of the State of Florida.
