IMPORTANT LEGAL NOTICE

This Agreement contains a Waiver and Release of Liability.


By enrolling, you may be giving up certain legal rights, including the right to sue.

By clicking “I Agree,” “Start 7-Day Trial,” enrolling, purchasing, or accessing the Services, you confirm that you have read, understood, and voluntarily agree to be legally bound by this Agreement.


1. DEFINITIONS

1.1 “Agreement” means this complete document, including all sections below.


1.2 “Company” means Bold Athletics Inc.


1.3 “Member,” “Client,” “You” means the individual accessing the Services.


1.4 “Online Bold Membership or Bold Membership” means the self-guided online fitness membership offered by the Company.


1.5 “Free Trial” means the one-time seven (7) consecutive day trial period beginning immediately upon enrollment.


1.6 “Services” means all digital fitness, nutrition, lifestyle, educational content, platform access, and community features (if any).


1.7 “Digital Content” means all workouts, programs, videos, PDFs, guides, templates, text, audio, and educational materials delivered electronically.


1.8 “Intellectual Property” means all proprietary content owned by Bold Athletics Inc., protected under Canadian copyright and trademark law.


1.9 “Billing Cycle” means the recurring monthly period following the Free Trial.


1.10 “Platform” means any website, app, software, or third-party system used to deliver Services.


2. SCOPE & NATURE OF SERVICES

2.1 The Online Bold Membership provides self-guided fitness programming and a general nutrition & lifestyle guide for educational purposes only.

2.2 Services may include:

Structured workout programs

Exercise demonstrations and instructions

General training education

General nutrition and habit education

Periodic updates or challenges

2.3 No specific content, results, or outcomes are

guaranteed. Programming and materials may change over time.


3. MEDICAL & PROFESSIONAL DISCLAIMERS

3.1 Not Medical Advice
The Services do not constitute medical advice, diagnosis, physical therapy, dietetic treatment, or healthcare services.

3.2 No Individualized Coaching
Unless covered by a separate written agreement, the Online Bold Membership does not include individualized coaching, assessments, or supervision.

3.3 Medical Clearance
You agree to consult a physician before participating if you have any medical condition, injury, or concern, including but not limited to cardiovascular, metabolic, neurological, orthopedic, or pregnancy-related conditions.


4. ELIGIBILITY & ACCOUNT RESPONSIBILITY

4.1 You must be 18 years or older to enroll.


4.2 You agree to provide accurate account and billing information.


4.3 Your membership is personal and non-transferable.


4.4 You are responsible for maintaining the security of your account credentials.


5. 7-DAY FREE TRIAL TERMS

5.1 Trial Access
The Free Trial begins immediately upon enrollment and lasts seven (7) consecutive days.

5.2 Payment Method Required
A valid payment method is required to enroll in the Free Trial.

5.3 Automatic Conversion
Unless cancelled before the end of Day 7, your Free Trial automatically converts to a paid monthly membership.

5.4 Authorization to Charge
You authorize Bold Athletics Inc. to charge your payment method on file at the end of the Free Trial. No reminder notice is required.

5.5 Trial Cancellation
You may cancel at any time before trial expiration to avoid charges. Access may terminate immediately or at the end of the trial, depending on platform limitations.

5.6 One Trial Per Person
Free Trials are limited to one per individual or household.


6. FEES, BILLING & SUBSCRIPTION TERMS

6.1 Membership fees are billed monthly on a recurring basis after the Free Trial.

6.2 Billing continues until cancelled.

6.3 Failed payments may result in suspended or

terminated access.

6.4 Prices may change with reasonable notice.


7. CANCELLATION POLICY

7.1 You may cancel at any time through the Platform or designated cancellation method.

7.2 If cancelled after payment:

• No future charges will occur

• Access continues until the end of the current Billing Cycle

7.3 There are no prorated refunds.


8. NO REFUND POLICY (DIGITAL INTELLECTUAL PROPERTY)

8.1 All sales are final once payment is processed.

8.2 No refunds, credits, or chargebacks are provided for:

unused access

accidental purchases

missed cancellations

dissatisfaction or lack of results

inability to participate

8.3 You acknowledge that Digital Content is delivered immediately and cannot be returned.

8.4 Improper chargebacks may result in termination of access and restriction from future services.


9. INTELLECTUAL PROPERTY & LICENSE

9.1 All Digital Content is the exclusive property of Bold Athletics Inc.

9.2 You are granted a limited, revocable, non-exclusive, non-transferable license for personal use only during an active membership.

9.3 You may not:

share, copy, resell, or distribute content

screen record or reproduce materials

use content commercially or to train others

9.4 Violations may result in immediate termination without refund and legal action.


10. MEMBER CONDUCT (COMMUNITY FEATURES)

If community access is provided:

10.1 Respectful conduct is required.


10.2 No harassment, hate speech, or abusive behaviour.


10.3 No medical advice, soliciting, or unauthorized promotion.


10.4 The Company may remove content or revoke community access without refund.


11. MEDIA RELEASE & CONTENT USAGE RIGHTS

11.1 Media & Content Authorization

By enrolling in the Online Bold Membership, you grant Bold Athletics Inc. a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, publish, modify, distribute, display, and create derivative works from any content you voluntarily provide, submit, upload, or share in connection with the Services, including but not limited to:

• photographs
• videos
• audio recordings
• written testimonials
• progress updates
• before/after images
• comments, messages, or posts within community features
• messages submitted via email, forms, or direct communication

(collectively, “User Content”).


11.2 Permitted Uses

Bold Athletics Inc. may use User Content for lawful business purposes, including but not limited to:

• marketing and advertising
• website and landing pages
• social media content
• promotional materials
• educational examples
• testimonials and case studies

Such use may occur with or without attribution, unless otherwise required by law.


11.3 Voluntary Submission

You acknowledge that:

• Submission of Client Content is voluntary
• You are not entitled to compensation for its use
• You represent that you own or have the right to share the content
• Client Content does not infringe on the rights of any third party

• Members/Clients may request in writing that their identifiable Client Content not be used for marketing purposes. Such requests do not affect content already published or anonymized.


11.4 No Obligation to Use

Bold Athletics Inc. is under no obligation to use or publish any Client Content and may remove or discontinue use at its discretion.


11.5 Waiver of Claims

To the fullest extent permitted by Alberta law, you waive any right to inspect or approve finished materials and release Bold Athletics Inc. from any claims arising from the use of User Content, including claims related to likeness, privacy, publicity, or defamation.

12. TECHNOLOGY & PLATFORM DISCLAIMER

12.1 Services may rely on third-party platforms.

12.2 The Company is not responsible for outages, downtime, or technical issues beyond its control.

12.3 Temporary service interruptions do not entitle Members to refunds.


13. RESULTS DISCLAIMER

13.1 Results vary by individual.

13.2 No guarantees are made regarding fitness, fat loss, muscle gain, health outcomes, or performance improvements.


WAIVER, RELEASE OF LIABILITY & ASSUMPTION OF RISK

14. ASSUMPTION OF RISK

You acknowledge that participation in physical activity involves inherent risks, including but not limited to:

• muscle strains, sprains, or tears

• joint or spinal injuries

• cardiovascular events

• equipment misuse or failure

• serious injury, permanent disability, or death

You voluntarily assume all risks, whether known or unknown, foreseeable or unforeseeable.


15. RELEASE & WAIVER OF LIABILITY

To the fullest extent permitted by Alberta law, you hereby release, waive, and forever discharge Bold Athletics Inc., its owners, directors, officers, employees, contractors, and affiliates from any and all claims arising from:

• participation in exercise or workouts

• use or misuse of Digital Content

• application of nutrition or lifestyle information

This includes claims arising from negligence, except where prohibited by law.


16. INDEMNIFICATION

You agree to indemnify and hold harmless Bold Athletics Inc. from any claims, damages, losses, liabilities, or legal costs arising from:

• your participation

• your breach of this Agreement

• your misuse or sharing of Digital Content


17. LIMITATION OF LIABILITY

To the maximum extent permitted by Alberta law, the Company’s total liability shall not exceed the amount paid by you in the preceding thirty (30) days.


18. PRIVACY POLICY

18.1 The Company complies with Alberta’s Personal Information Protection Act (PIPA).

18.2 Information collected may include:

• name, email, contact details

• billing and payment information

• account activity

• voluntary health or fitness information

• community communications

18.3 Information is used to:

• deliver Services

• process payments

• communicate with Members

• improve programs

• prevent fraud

18.4 Personal information is not sold.

18.5 Third-party platforms may have their own privacy policies.

18.6 Reasonable safeguards are used, but absolute security cannot be guaranteed.

18.7 You may request access to or correction of your personal information.


19. GOVERNING LAW & JURISDICTION

This Agreement is governed by the laws of the Province of Alberta and applicable federal laws of Canada. All disputes shall be resolved exclusively in Alberta courts.


20. SEVERABILITY

If any provision is found unenforceable, the remaining provisions remain in full force and effect.


21. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and Bold Athletics Inc. and supersedes all prior communications.


22. ACCEPTANCE

By enrolling, you confirm that:

• you have read and understood this Agreement

• you understand you are waiving legal rights

• you agree voluntarily and without coercion

• electronic acceptance is legally binding
