Growth Partner Terms and Conditions

This Growth Partner Agreement ("Agreement") is entered into by and between the Capital District Business Alliance ("CDBA") and the undersigned business ("Growth Partner") as of the date of acceptance.

1. Purpose

CDBA provides a performance-based lead generation and referral program designed to connect Growth Partners with qualified leads and warm introductions generated through CDBA’s network, marketing efforts, events, and campaigns. Growth Partner desires to participate in the program under the terms below.

2. Membership

✅Membership in the Growth Partner Program is free.

✅Acceptance into the program is at CDBA’s discretion.

✅Growth Partner agrees to provide accurate and current business information, services offered, and ideal client criteria.

3. Term

This Agreement begins upon acceptance and continues for an initial term of one (1) year. After the initial term, the Agreement may renew unless terminated by either party with thirty (30) days written notice.

4. Lead Generation & Referrals

✅CDBA may introduce Growth Partner to prospective clients (“Leads”) based on alignment with Growth Partner’s services and stated criteria.

✅Leads may originate from CDBA’s network, events, referrals, or marketing campaigns.

✅Growth Partner may accept or decline any Lead at its discretion.

✅CDBA does not guarantee a minimum number of Leads or conversions.

5. Fees & Payment

✅Growth Partner agrees to pay CDBA a referral fee equal to $35 per successful lead or 10% of gross revenue generated from the Lead, whichever is higher.

✅Fees are performance-based and payable only upon successful conversion of a Lead.

✅Payment is due within three (3) business days of Growth Partner receiving payment from the referred client.

6. Growth Partner Responsibilities

Growth Partner agrees to:

✅Respond promptly and professionally to accepted Leads.

✅Provide honest feedback on Lead outcomes when requested.

✅Conduct business in a lawful, ethical, and professional manner.

7. Confidentiality

Both parties agree to keep confidential all non-public business information, client data, and referral details exchanged under this Agreement, except as required by law.

8. No Guarantee & Limitation of Liability

CDBA makes no guarantees regarding Lead quality, volume, or conversion outcomes. CDBA shall not be liable for lost revenue, indirect damages, or business outcomes related to participation in the program.

9. Termination

Either party may terminate this Agreement with thirty (30) days written notice. Any referral fees earned prior to termination remain payable.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York.

12. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements. Modifications must be made in writing and agreed upon by both parties.

Acknowledgment & Acceptance

By checking the acceptance box and submitting this form, the Growth Partner agrees to the terms of this Agreement.
