(“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our website, services, and any related offerings (collectively, the “Services”). As a client of Underdog Business Consulting LLC, you agree to:
Provide accurate and complete information as requested to ensure the effective provision of services. Respond promptly to any requests for clarification or further information. Acknowledge that the results of consulting services depend on many factors, including your commitment and cooperation. Comply with all applicable laws and regulations in connection with your use of our Services.
Consulting Fees: Fees for our Services are outlined in the consulting agreement or proposal provided to you prior to commencing work. You agree to pay all fees as outlined in the agreement. Payment Terms: Payment is due as specified in the consulting agreement. We reserve the right to require full or partial payment upfront, depending on the scope of the project. Late Payments: Failure to pay within the agreed-upon terms may result in a suspension of services until payment is made. Late fees may apply for overdue invoices. Refunds: All payments are non-refundable unless otherwise specified in the agreement.
We understand the importance of confidentiality in our client relationships. Both parties agree to maintain the confidentiality of proprietary or confidential information shared during the course of our work, including trade secrets, business strategies, financial information, and any other sensitive data (“Confidential Information”).
Non-Disclosure: Neither party shall disclose or share Confidential Information without prior written consent, except as required by law or court order. Exceptions: Confidential Information does not include information that (a) is publicly available, (b) was known to the receiving party before disclosure, or (c) is independently developed without reference to the Confidential Information.
Any reports, recommendations, documents, or other materials (“Deliverables”) provided by Underdog Business Consulting LLC as part of our services remain our intellectual property unless otherwise specified in the consulting agreement. Upon full payment of fees, you are granted a non-exclusive, non-transferable license to use the Deliverables for your internal business purposes.
To the fullest extent permitted by law,

shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, revenue, or data, arising from your use of our Services or Deliverables.
Our total liability for any claim arising out of or relating to our Services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.
While Underdog Business Consulting LLC strives to provide high-quality services, we do not guarantee specific outcomes or results from our consulting services. The success of any recommendations or strategies we provide depends on many factors outside of our control, including client implementation and market conditions.
Either party may terminate the consulting agreement or these Terms by providing written notice to the other party. Upon termination, you agree to pay for all services rendered and expenses incurred up to the termination date. We reserve the right to terminate our engagement immediately if you breach these Terms or fail to cooperate in good faith.
These Terms shall be governed by and construed in accordance with the laws of the state of [State], without regard to its conflict of laws principles. Any disputes arising from these Terms or your use of our Services shall be resolved in the courts of Miami, Florida.
In the event of a dispute arising out of or in connection with these Terms or the Services provided, the parties agree to first attempt to resolve the dispute informally through good-faith negotiations. If the dispute cannot be resolved amicably, the parties agree to submit the dispute to mediation before pursuing any other remedies, including litigation.
We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on our website. Your continued use of our Services following the posting of any changes constitutes your acceptance of those changes.
