Late Payments: Failure to pay within the agreed-upon terms may result in a suspension of services until payment is made. Late fees may apply for overdue invoices. Refunds: All payments are non-refundable unless otherwise specified in the agreement.

5. Confidentiality

We understand the importance of confidentiality in our client relationships. Both parties agree to maintain the confidentiality of proprietary or confidential information shared during the course of our work, including trade secrets, business strategies, financial information, and any other sensitive data (“Confidential Information”).

Non-Disclosure: Neither party shall disclose or share Confidential Information without prior written consent, except as required by law or court order. Exceptions: Confidential Information does not include information that (a) is publicly available, (b) was known to the receiving party before disclosure, or (c) is independently developed without reference to the Confidential Information.

6. Intellectual Property

Any reports, recommendations, documents, or other materials (“Deliverables”) provided by Underdog Business Consulting LLC as part of our services remain our intellectual property unless otherwise specified in the consulting agreement. Upon full payment of fees, you are granted a non-exclusive, non-transferable license to use the Deliverables for your internal business purposes.

7. Limitation of Liability

To the fullest extent permitted by law,

shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, revenue, or data, arising from your use of our Services or Deliverables.

Our total liability for any claim arising out of or relating to our Services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

The success of any recommendations or strategies we provide depends on many factors outside of our control, including client implementation and market conditions.

9. Termination

Either party may terminate the consulting agreement or these Terms by providing written notice to the other party. Upon termination, you agree to pay for all services rendered and expenses incurred up to the termination date. We reserve the right to terminate our engagement immediately if you breach these Terms or fail to cooperate in good faith.

10. Governing Law
