Promotional Terms

1.
ABOUT THESE TERMS
1.1
These Promotional Terms (“Terms”) apply to any promotional offer, discount, credit, incentive, free period, referral benefit, cash bonus, or similar campaign (each a “Promotion”) offered by Oshore Pty Ltd ABN 40 691 149 989 (“Oshore”, “we”, “us”, “our”) from time to time.
1.2
Promotions may be communicated via our website, email campaigns, social media, referral programs, webinars, podcasts, workshops, events, or any other marketing or engagement channel (each a “Promotional Channel”).
1.3
By participating in, claiming, redeeming, or attempting to redeem a Promotion as a Referrer or a New Client, you (“you”, “your”) agree to be bound by these Terms.
1.4
If a Promotion is made available through our website, your use of the website also remains subject to our Website Terms of Use.
1.5
Any personal information collected in connection with a Promotion will be handled in accordance with our Privacy Policy.
2.
PROMOTION PERIOD
2.1
Each Promotion is available only for the period stated in the relevant promotional communication (“Promotion Period”).
2.2
If no Promotion Period is stated, the Promotion will continue until amended, withdrawn, or cancelled by Oshore in its discretion.
3.
ELIGIBILITY
3.1
Unless expressly stated otherwise, Promotions are available only where the relevant eligibility requirements are met.
3.2
For the purposes of these terms, a “New Client” means a company or individual that has never previously completed a hire or commenced an engagement through Oshore under any service model, including:
3.2.1
direct offshore hiring or direct placement (“Direct Hire”); and/or
3.2.2
outsourcing, managed staffing, or talent on demand (“Talent On-Demand”), together (“Service Models”).
3.3
For the purposes of these Terms, a “Referrer” means the person or entity who introduces the New Client to Oshore and is accepted by Oshore as the source of that referral.
3.4
To be eligible, the Referrer must follow the instructions on the referral program page and register their intent to participate in a Promotion at Oshore portal.
3.5
The Referrer may be any person, including a friend, affiliate, introducer, employee, representative, owner or director of the New Client itself.
3.6
New Client Promotions are limited to one (1) first placement under the Direct Hire model or one (1) first engagement under the Talent On-Demand model, per company or group, as determined by Oshore acting reasonably, including by reference to:
3.6.1
ABN, ACN, or billing entity;
3.6.2
trading name and website domain;
3.6.3
principal contacts; and
3.6.4
related entities or associates, including common ownership or control.
3.7
We may request reasonable information to verify eligibility, identity, and entitlement before applying any Promotion or making any payment.
4.
PROMOTION DETAILS
4.1
The Promotion you receive will be as stated in the relevant promotional communication.
4.2
If the promotional communication differs from the standard offers set out below, the promotional communication prevails to the extent of that difference.
4.3
Referral Promotion - Direct Hire Model
4.3.1
Where a Referrer introduces an eligible New Client to Oshore under the Direct Hire model, and the New Client completes its first placement, the Referrer may receive an AU$500 cash bonus, and the referred New Client may receive AU$500 in credit.
4.3.2
The AU$500 cash bonus for the Referrer is not earned and is not payable unless and until:
4.3.2.1
the New Client signs Oshore’s Client Services Agreement or other applicable agreement;
4.3.2.2
Oshore receives the required AU$500 deposit from the New Client to initiate the placement service; and
4.3.2.3
the New Client completes its first successful placement and Oshore receives payment in full, in cleared funds, of the final invoice for that placement.
4.3.3
Once clause 4.3.2 is satisfied, Oshore will pay the Referrer the AU$500 cash bonus within fourteen (14) business days.
4.3.4
The referred New Client’s AU$500 credit will be applied as a credit against Oshore’s final invoice for that first successful Direct Hire placement.
4.3.5
The AU$500 credit has no cash value, is not refundable, and is not transferable.
4.4
Referral Promotion - Talent On-Demand Model
4.4.1
Where a Referrer introduces a New Client to Oshore under the Talent On-Demand Model, and the New Client commences its first engagement, the Referrer may receive an AU$500 cash bonus, and the referred New Client may receive AU$1,500 in credit.
4.4.2
The AU$500 cash bonus for the Referrer is not earned and is not payable unless and until:
4.4.2.1
the New Client signs Oshore’s Client Services Agreement or other applicable agreement; and
4.4.2.2
the New Client commences its first Talent On-Demand engagement and Oshore receives payment in full, in cleared funds, of the first invoice covering the first month’s placement under that agreement.
4.4.3
Once clause 4.4.2 is satisfied, Oshore will pay the Referrer AU$500 cash bonus within forty-five (45) business days.
4.4.4
The referred New Client’s AU$1,500 credit will be applied as a credit toward the first month of Oshore’s service fees for that first Talent On-Demand engagement.
4.4.5
The AU$1,500 credit has no cash value, is not refundable, and is not transferable.
5.
PRICING, CURRENCY, AND GST
5.1
Unless expressly stated otherwise, all Promotion values, credits, deposits, and cash bonuses are stated in Australian dollars (AUD).
5.2
Unless expressly stated otherwise, all fees, charges, deposits, Promotion values, and credits are exclusive of GST and any other applicable taxes, duties, or government charges.
6.
LIMITATIONS AND EXCLUSIONS
6.1
Promotions cannot be applied retrospectively to engagements already in progress, invoices already issued, or services already delivered, unless Oshore agrees otherwise in writing.
6.2
Unless expressly stated otherwise, Promotions cannot be combined with other offers, discounts, reduced fees, custom pricing arrangements, partner pricing, legacy rates, or referral benefits.
6.3
A Promotion will not apply where the relevant business is not a New Client.
6.4
A Promotion will not apply unless it is referenced before the relevant agreement is signed and before the relevant hire or engagement is completed, unless Oshore agrees otherwise in writing.
6.5
We may refuse, cancel, or withdraw a Promotion where we reasonably suspect misuse, fraud, bad faith conduct, or an attempt to circumvent these Terms.
6.6
Unless expressly stated otherwise, Promotions have no cash value, are not refundable, and are not transferable, except for any cash bonus expressly stated in these Terms.
7.
SIGNED AGREEMENTS PREVAIL
7.1
Promotions do not replace, vary, or override the signed services agreement (“Client Services Agreement”) between Oshore and the relevant client unless the Promotion is expressly incorporated in writing.
7.2
All services remain subject to the Client Services Agreement, including service scope, pricing, payment terms, cancellation terms, and any third-party or delivery model terms.
7.3
If there is any inconsistency between these Terms, a promotional communication, and a signed agreement, the signed agreement prevails to the extent of the inconsistency.
8.
CHANGES TO PROMOTIONS
8.1
To the maximum extent permitted by law, Oshore may modify, suspend, withdraw, or cancel any Promotion or these Terms at any time.
8.2
Any updated Terms take effect when published on our website or through any applicable Promotional Channel, unless a later date is stated.
8.3
Any change will not affect a Promotion that has already been validly earned before the change takes effect.
9.
AUSTRALIAN CONSUMER LAW
9.1
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, statutory right, or other right or remedy that cannot lawfully be excluded, restricted, or modified under the Australian Consumer Law or any other applicable law.
10.
GOVERNING LAW
10.1
These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
