1. INTRODUCTION AND AGREEMENT


This End User License Agreement ("EULA" or "Agreement") is a legally binding agreement between you ("User," "you," or "your") and Cross Market Fund LLC, a Texas limited liability company and Cross Market Management Company LLC, a Texas limited liability company ("Cross Market Fund," “Cross Market Management Company,” "Licensor," "we," "our," or "us").


This EULA governs your access to and use of any software, applications, digital platforms, investor portals, mobile applications, tools, and related digital services (collectively, the "Software") made available by Cross Market Fund LLC or Cross Market Management LLC in connection with the Fund's operations, investor communications, or website functionality.


BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE, DO NOT DOWNLOAD, INSTALL, ACCESS, OR USE THE SOFTWARE.


2. DEFINITIONS


- "Software" means any application, platform, portal, tool, widget, API, or digital service provided by Cross Market Fund LLC or Cross Market Management Company LLC, including the investor portal, any mobile applications, document management systems, communication tools, and related updates, patches, or new versions.

- "Content" means all data, text, graphics, reports, documents, financial information, communications, and other materials accessible through the Software.

- "User Account" means the personal account created by or for you to access the Software.

- "Authorized Use" means use of the Software in accordance with the terms of this EULA, for the purposes of managing your investment relationship with us.


3. LICENSE GRANT


3.1 Limited License


Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:


- Access and use the Software for your personal, non-commercial use in connection with your investment in or prospective investment in Cross Market Fund LLC

- View, download, and print Content made available to you through the Software for your personal records and investment evaluation purposes


3.2 Restrictions


You may not:


- Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software

- Distribute, sublicense, lease, rent, loan, sell, or otherwise transfer the Software or access thereto to any third party

- Remove, alter, or obscure any proprietary notices, labels, trademarks, or branding within the Software

- Use the Software for any purpose other than Authorized Use

- Access or attempt to access other users' accounts, data, or Content

- Use automated systems, scripts, bots, or other tools to access or interact with the Software

- Introduce viruses, malware, or any harmful code into the Software

- Circumvent, disable, or interfere with any security features, access controls, or usage limitations of the Software

- Use the Software in any manner that violates applicable laws, regulations, or the rights of any third party

- Share your login credentials or allow any other person to access the Software using your User Account

- Screenshot, record, copy, or redistribute any Content accessed through the Software, including financial reports, investor communications, K-1 documents, or deal materials, except for your personal records


4. USER ACCOUNTS


4.1 Account Creation


You may be required to create a User Account to access certain features of the Software. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.


4.2 Account Security


You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your User Account. You agree to immediately notify us of any unauthorized use of your account or any other security breach.


4.3 Account Termination


We reserve the right to suspend or terminate your User Account at any time, with or without notice, for any reason, including but not limited to violation of this EULA, suspected fraudulent activity, or termination of your investment in the Fund. Upon termination, your license to use the Software immediately ceases, and you must discontinue all use of the Software.


5. INTELLECTUAL PROPERTY


5.1 Ownership


The Software, including all code, design, architecture, Content, graphics, user interface, and documentation, is and shall remain the sole and exclusive property of Cross Market Management Company LLC, Cross Market Fund LLC or its licensors. This EULA does not convey any ownership interest in or to the Software. All rights not expressly granted herein are reserved by us.


5.2 Feedback


If you provide any suggestions, ideas, feedback, or recommendations regarding the Software ("Feedback"), you hereby assign to us all right, title, and interest in such Feedback. We may use, incorporate, and commercialize Feedback without any obligation or compensation to you.


6. CONFIDENTIALITY


6.1 Confidential Information


You acknowledge that the Software and the Content accessible through it may contain confidential and proprietary information of Cross Market Management Company LLC and Cross Market Fund LLC, including but not limited to:


- Investment performance data and financial reports

- Deal terms, projections, and offering materials

- Investor communications and fund updates

- Business strategies, acquisition targets, and operational information

- Member lists and investor information

- K-1 tax documents and distribution records


6.2 Obligations


You agree to:


- Maintain the confidentiality of all Confidential Information

- Not disclose Confidential Information to any third party without prior written consent from us

- Use Confidential Information solely for Authorized Use

- Take reasonable measures to protect Confidential Information from unauthorized disclosure


6.3 Exceptions


Confidentiality obligations do not apply to information that:


- Is or becomes publicly available through no fault of yours

- Was known to you prior to disclosure through the Software

- Is independently developed by you without use of or reference to Confidential Information

- Is required to be disclosed by law, regulation, or legal process, provided you give us prompt written notice and cooperate with any efforts to obtain protective treatment



7. DATA AND PRIVACY


Your use of the Software is subject to our Privacy Policy, which is incorporated herein by reference. By using the Software, you consent to the collection, use, and processing of your information as described in the Privacy Policy.


You acknowledge that investment-related data, documents, and communications transmitted through the Software may contain sensitive personal and financial information. You agree to handle such information in accordance with applicable privacy and data protection laws.


8. UPDATES AND MODIFICATIONS


8.1 Software Updates


We may, at our sole discretion, release updates, patches, enhancements, or new versions of the Software. Such updates may be required for continued use and may be installed automatically. This EULA applies to all updates unless a separate agreement is provided.


8.2 Modifications to EULA


We reserve the right to modify this EULA at any time. Material changes will be communicated through the Software, the Site, or by direct notification. Your continued use of the Software following any modifications constitutes acceptance of the revised EULA. If you do not agree to the modified terms, you must discontinue use of the Software.


9. THIRD-PARTY COMPONENTS


The Software may include or integrate with third-party software, libraries, APIs, or services. Such third-party components are subject to their own license terms. 

We make no warranties regarding third-party components and are not responsible for their performance, availability, or security.


10. DISCLAIMERS


10.1 "As Is" Basis**


THE SOFTWARE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, CROSS MARKET FUND LLC AND CROSS MARKET MANAGEMENT COMPANY LLC DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:


- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT

- WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT

- WARRANTIES THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS


10.2 Not Investment Advice


THE SOFTWARE AND CONTENT ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE INVESTMENT, FINANCIAL, LEGAL, TAX, OR ACCOUNTING ADVICE. ANY DATA, REPORTS, PROJECTIONS, OR MATERIALS ACCESSIBLE THROUGH THE SOFTWARE SHOULD NOT BE RELIED UPON AS THE SOLE BASIS FOR ANY INVESTMENT DECISION.


10.3 No Guarantee of Performance


PAST PERFORMANCE INFORMATION DISPLAYED IN THE SOFTWARE IS NOT INDICATIVE OF FUTURE RESULTS. THERE IS NO GUARANTEE THAT THE FUND WILL ACHIEVE ITS INVESTMENT OBJECTIVES OR THAT ANY INVESTMENT WILL BE PROFITABLE.


11. LIMITATION OF LIABILITY


TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CROSS MARKET FUND LLC, CROSS MARKET MANAGEMENT LLC, AND THEIR RESPECTIVE AFFILIATES
