By accessing or using the CGX Advisors website (cgxadvisors.com), any associated landing pages or funnels, scheduling a consultation, or purchasing or engaging any CGX Advisors service or program, you confirm that:
You have read and agree to be bound by these Terms and Conditions and our Privacy Policy;
You are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater;
You have the legal authority to enter into a binding agreement on behalf of yourself or the business entity you represent;
You are engaging CGX Advisors for lawful purposes only.

CGX Advisors provides tax advisory, financial infrastructure advisory, and business consulting services to assisted living facility, residential assisted living, group home, and independent living owner-operators. Our programs and service offerings include:

The specific scope, deliverables, timeline, and fees for any engagement will be outlined in a separate written engagement agreement or proposal provided to the Client prior to commencement of services. In the event of a conflict between these Terms and Conditions and a signed engagement agreement, the engagement agreement governs.
Services are marketed and advertised through our website and GoHighLevel funnels. All program payments and recurring billing are processed exclusively through the TaxDome client portal. No payment is collected through our website or funnel pages.
Xavier Essex operates as a tax advisor, not a licensed Certified Public Accountant (CPA). CGX Advisors does not hold itself out as a CPA firm. References to "advisory," "planning," or "consulting" services throughout this website and in all program materials reflect this distinction.
You may access and use the CGX Advisors website for lawful informational and engagement purposes only. The following uses are expressly prohibited:
Using the website for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation;
Attempting to gain unauthorized access to any portion of the website, our systems, our client portal, or any connected third-party systems;
Scraping, harvesting, or collecting data from our website or funnels by automated means without express written permission;
Submitting false, misleading, or fraudulent information through any form, opt-in, or booking page;
Uploading or transmitting any virus, malicious code, or harmful content through any website form or communication channel;

Engaging CGX Advisors for a program or service does not create an attorney-client relationship. Personalized tax or financial advisory services are provided only under the terms of a signed, written engagement agreement.
CGX Advisors does not guarantee specific financial results, tax savings, profit improvements, or business outcomes from the use of any program or service. Results vary based on individual business circumstances, the accuracy and completeness of client-provided information, applicable tax law, and other factors outside our control.
To enable CGX Advisors to deliver accurate and timely services, the Client agrees to:
Provide all requested documentation, records, and information in a complete, accurate, and timely manner;
Review all work products, filings, and reports prepared by CGX Advisors promptly and notify us of any discrepancies or errors within a reasonable time;
Respond to communications requiring approval, clarification, or additional detail within the timeframes specified in the engagement agreement;
Maintain their own copies of all business records, tax documents, and financial statements;
Notify CGX Advisors promptly of any material changes to their business structure, financial situation, or circumstances that may affect the services being provided.
CGX Advisors shall not be liable for errors, delays, penalties, or adverse outcomes resulting from the Client's failure to fulfill these responsibilities. Failure to comply may delay delivery of services, impact the accuracy of tax filings or financial reports, or result in additional fees for rework.
All fees for CGX Advisors programs and services are communicated in writing prior to the commencement of any engagement. Fees are outlined in the applicable engagement agreement or proposal and are subject to the following terms:

| Service Suspension | CGX Advisors reserves the right to suspend or terminate services immediately for non-payment without further notice after the 30-day grace period. |
| Refund Policy | All sales are final. CGX Advisors does not offer refunds on paid programs or services once work has commenced, except as required by applicable law or as expressly stated in a signed engagement agreement. |
| Cancellation | Either party may cancel or terminate an ongoing engagement with 30 days written notice to the other party. Notice must be submitted in writing to [email protected]. Services rendered through the effective termination date will be billed accordingly. |
| Prepaid Services | Prepaid fees for services not yet rendered at the time of termination are non-refundable unless otherwise expressly agreed in writing. |
CGX Advisors uses TaxDome as its secure client portal for document management, billing, and client communications. Upon engagement, Clients are provided access to a TaxDome account.
You are solely responsible for maintaining the confidentiality of your TaxDome login credentials and for all activity that occurs under your account;
You agree to notify CGX Advisors immediately at [email protected] if you suspect unauthorized access to your account or any security breach;
You agree not to share your portal credentials with any unauthorized third party;
CGX Advisors reserves the right to suspend or terminate portal access for any Client who misuses the platform, violates these terms, or fails to maintain current payment status.
CGX Advisors is not responsible for losses or damages arising from your failure to maintain the security of your account credentials.
The CGX Advisors website and marketing materials may contain links to third-party websites, platforms, or tools including but not limited to TaxDome, GoHighLevel, Microsoft 365, and other service providers for informational or functional purposes
CGX Advisors does not control, endorse, or assume responsibility for the content, privacy practices, terms, or availability of any third-party website or tool. Your use of any third-party platform is governed entirely by that platform's own terms of service and privacy policy.
The inclusion of any third-party link on our website does not imply our endorsement of that website or its content. CGX Advisors shall not be liable for any damages or losses arising from your use of or reliance on any third-party website, tool, or service.
CGX Advisors is committed to maintaining the confidentiality of all Client financial, tax, and personal information shared in the course of an engagement. We will not disclose your confidential information to any third party without your written consent, except:
As required by applicable law, regulation, court order, or government authority;
As necessary to deliver the services you have engaged us to provide, including sharing with vetted service providers who are bound by confidentiality obligations;
As permitted under our Privacy Policy, available at cgxadvisors.com/privacy
Clients agree to maintain the confidentiality of any proprietary frameworks, methodologies, tools, templates, or processes disclosed by CGX Advisors in the course of an engagement. This obligation survives the termination of any engagement agreement.
All personal information collected and processed by CGX Advisors is stored and processed within the United States. Our service providers including GoHighLevel, TaxDome, and Microsoft 365 operate data centers in the United States and may store data on cloud infrastructure hosted domestically
We do not intentionally transfer your personal information to servers or entities located outside the United States. If this changes, we will update this policy accordingly.
To the fullest extent permitted by applicable law, CGX Advisors LLC, its principals, employees, contractors, and agents shall not be liable for:
Any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of our website or services;
Any errors, omissions, delays, or inaccuracies in services resulting from incorrect, incomplete, or untimely information provided by the Client;
Any tax liabilities, penalties, interest, or assessments resulting from changes in tax law, IRS or state agency actions, or circumstances outside our reasonable control;
Any loss of revenue, profit, business opportunity, data, or goodwill arising in connection with our services, even if we have been advised of the possibility of such damages;
Any damages arising from unauthorized access to or alteration of your data, where such access resulted from your failure to maintain account security.
The CGX Advisors website and all content thereon are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
In no event shall CGX Advisors' total aggregate liability to any Client for all claims arising out of or related to a specific engagement exceed the total fees paid by that Client to CGX Advisors for the specific service giving rise to the claim in the twelve (12) months preceding the claim.
CGX Advisors does not guarantee specific financial results, tax savings, profit improvements, or business outcomes from the use of any program or service. Results vary based on individual business circumstances, the accuracy and completeness of client-provided information, applicable tax law, and other factors outside our control.
You agree to defend, indemnify, and hold harmless CGX Advisors LLC, its principals, officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Your breach of any provision of these Terms and Conditions;
Your violation of any applicable law, regulation, or third-party right;
Your misuse of the CGX Advisors website, funnels, or client portal;
The inaccuracy, incompleteness, or untimeliness of any information or documentation you provide to CGX Advisors;
Any claim by a third party arising from your use of CGX Advisors services.
CGX Advisors reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.
These Terms and Conditions and any dispute arising out of or related to them or the services provided by CGX Advisors shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
Before initiating any formal legal proceeding, the parties agree to attempt to resolve any dispute, claim, or controversy through the following informal process:

| 3 | Florida Courts | If the dispute is not resolved through negotiation within 30 days, either party may pursue resolution in the state or federal courts located in Duval County, Florida. Both parties consent to the exclusive jurisdiction and venue of those courts. |
The prevailing party in any legal action arising from these Terms and Conditions shall be entitled to recover reasonable attorneys' fees and costs from the non-prevailing party, to the extent permitted by applicable law.
CGX Advisors reserves the right to modify, update, or revise these Terms and Conditions at any time and at our sole discretion. When changes are made, we will:
Update the "Last Updated" date at the top of this page;
Post the revised Terms and Conditions on our website at cgxadvisors.com/terms;
Notify active Clients of material changes via email to the address on file.
Your continued use of the CGX Advisors website or services after any revised Terms and Conditions are posted constitutes your acceptance of those changes. If you do not agree with the revised terms, you must discontinue use of our website and notify us in writing to terminate any active service engagement.
