These Terms of Service (“Terms”) form a legally binding agreement between you (“User,” “Client,” or “you”) and Zufire (“Company,” “we,” “our,” or “us”). These Terms govern your access to and use of the Zufire platform, website, and related services (collectively, the “Services”).

By accessing or using our Services, you confirm that you have read, understood, and agree to comply with these Terms.

1. Eligibility & Acceptance

By using our Services, you represent and confirm that:

  • You are at least 18 years old.
  • You have the legal authority to enter into binding agreements.
  • Your use of the Services complies with all applicable laws and regulations.

2. Compliance with Communication Laws (TCPA)

2.1 User Responsibility

Zufire provides technology and automation tools. We do not assume responsibility for how Users contact prospects or customers.

You are solely responsible for ensuring that all outreach activities — including calls, SMS, and automated communications — comply with the Telephone Consumer Protection Act (TCPA) and any other relevant regulations.

You warrant that you have obtained proper prior express written consent before contacting any individual through our platform.

2.2 Indemnification for Communication Violations

You agree to defend, indemnify, and hold harmless Zufire from any claims, fines, damages, penalties, or legal actions arising from:

  • Alleged TCPA violations
  • Failure to obtain proper consent
  • Consumer complaints related to outreach
  • Regulatory investigations or enforcement actions

2.3 Recordkeeping

You must maintain accurate compliance records for a minimum of five (5) years and provide such documentation upon reasonable request.

3. Data Usage & Platform Rights

3.1 License to Use Data

By using the Services, you grant Zufire a worldwide, royalty-free, perpetual license to collect, analyze, and process transactional and performance data generated through the platform for purposes including system optimization and service improvements.

3.2 Analytics & Improvements

Zufire may use aggregated and anonymized data to enhance platform performance, develop new features, and improve user experience.

3.3 Ownership

You retain ownership of your proprietary client data. However, Zufire retains ownership of system analytics, aggregated insights, and derived platform improvements.

4. Payments & Chargeback Policy

4.1 Payment Terms

All service fees are due as agreed at the time of purchase. Unless otherwise stated in writing, payments are non-refundable.

4.2 Chargebacks & Disputes

If a chargeback or payment dispute is initiated:

  • You remain responsible for the full transaction amount.
  • An administrative penalty of $500 or 50% of the disputed amount (whichever is greater) may apply.
  • Interest may accrue on unpaid balances at 1.5% per month or the maximum permitted by law.
  • You agree to reimburse any collection or legal costs incurred.

5. Service Usage

5.1 Availability

While we aim to provide reliable service, uninterrupted access is not guaranteed. We reserve the right to update, suspend, or modify Services as needed.

5.2 Acceptable Use

You may not:

  • Use the Services in violation of law
  • Attempt unauthorized system access
  • Resell access without written permission
  • Introduce malicious software

5.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and all activities conducted under your account.

6. Intellectual Property

All platform content, software, branding, and materials are owned by Zufire and protected by applicable intellectual property laws.

7. Confidentiality

Both parties agree to keep confidential information private and not disclose it to third parties unless required by law.

8. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, express or implied.

9. Limitation of Liability

To the maximum extent permitted by law, Zufire shall not be liable for indirect, incidental, or consequential damages, including lost profits or data.

Total liability shall not exceed the amount paid by you to Zufire in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Zufire from claims arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any law or third-party rights

11. Termination

Either party may terminate this agreement with written notice. Upon termination, access to Services will cease and any outstanding balances become immediately due.

12. Governing Law & Dispute Resolution

These Terms shall be governed by applicable state laws. Any disputes shall be resolved through binding arbitration, except for claims involving intellectual property or unpaid fees.

13. General Provisions

  • These Terms constitute the entire agreement between the parties.
  • If any provision is unenforceable, the remaining provisions remain valid.
  • No waiver is valid unless in writing.
  • Neither party is liable for delays caused by events beyond reasonable control.

14. Updates to These Terms

Zufire may update these Terms from time to time. Continued use of the Services after modifications constitutes acceptance of the revised Terms.

By using Zufire’s Services, you acknowledge that you have read and agree to these Terms of Service.
