Any “Trade Launch Advantage,” waived setup fee, discount, support allocation, or promotional value:

*Has no cash value

*Is non-transferable

*Cannot be exchanged

*Cannot be redeemed against existing balances

*Cannot be transferred to another person or business

*Applies only to qualifying future services approved by HomeFix Network

HomeFix Network reserves the right to determine eligibility for any future discounted or waived setup offer.


4g. Intellectual Property

All materials provided by HomeFix Network remain the intellectual property of HomeFix Network and/or AI Nexry Ltd unless otherwise stated.

Users may not:

*Claim ownership of toolkit materials

Toolkit resources are provided for the recipient business’s internal use only.


4h. Limitation of Liability

To the fullest extent permitted by law, HomeFix Network and AI Nexry Ltd shall not be liable for:

*Lost revenue

*Business interruption

*Reputation damage

*Platform penalties

*Search visibility changes

*Review-related disputes

*Third-party platform actions

Use of the toolkit and its resources is entirely at the user’s own risk


5. NO GUARANTEED RESULTS

The Company does not guarantee:

*Increased revenue

*Increased bookings

*Increased leads

*Increased profits

*Business growth

*Customer retention

*Reputation improvement

*Review increases

*Social media performance

*Marketing performance

*AI performance accuracy

*Automation uptime

*Any specific business outcome

All services, audits, suggestions, systems, and recommendations are provided based on general industry practices and available information.

6. CLIENT RESPONSIBILITIES

The Client agrees to:

*Provide approvals when required

*Provide accurate branding materials

*Maintain valid payment methods

*Ensure compliance with laws and regulations

*Maintain proper customer consent where required

The Client is solely responsible for:

*Their staff

*Their customer communications

*Their legal compliance

*Their customer outcomes

*Their internal processes

Failure to provide required materials, approvals, or access may delay services without refund entitlement.


7. ACCESS TO ACCOUNTS & CREDENTIALS

The Client may voluntarily provide:

*Email logins

*Passwords

*Google account access

*Facebook access

*CRM access

*Business platform access

*Website access

*Domain access

*Hosting access

*Social media access

The Client acknowledges:

*Access is provided voluntarily

*The Company cannot control third-party platform security

*Platforms may suspend, restrict, or modify accounts at any time

*The Company is not responsible for platform-related losses or account restrictions

The Client may revoke access at any time, though doing so may impact services.


8. AUTOMATIONS & AI SYSTEMS

The Company may provide AI tools, automation systems, workflows, SMS systems, email systems, or communication tools.

The Client acknowledges:

*AI systems are not perfect

*Automations may fail, delay, or misfire

*Third-party systems may experience downtime

*AI-generated responses may contain inaccuracies

*Automation performance depends on external platforms

The Company is not liable for:

*Missed messages

*Delayed communications

*Incorrect AI responses

*Automation failures

*Software outages

*Third-party disruptions

*Lead losses

*Revenue losses

Clients remain responsible for monitoring their own business communications. Certain AI-powered features may be experimental in nature and may evolve, change, or be discontinued over time.


9. SOCIAL MEDIA & CONTENT MANAGEMENT

Where social media or content services are provided:

*The Client grants permission to use provided brand assets

*The Client grants permission to publish approved content

*The Client is responsible for the accuracy of business claims

*The Client remains legally responsible for their own business advertising

The Company may use:

*Logos

*Photos

*Videos

*Branding

*Testimonials

*Voice recordings

*Submitted materials

solely for service delivery unless otherwise agreed.

The Company is not liable for:

*Social media algorithm changes

*Account restrictions

*Platform suspensions

*Reach fluctuations

*Audience engagement changes

*Reputation impacts caused by customer interactions


10. GOOGLE BUSINESS PROFILE & REPUTATION MANAGEMENT

The Company may assist with:

*Review guidance

*Visibility suggestions

*Google Business Profile optimisation

*Reputation systems

*Review response suggestions

The Company:

*Is not affiliated with Google

*Cannot guarantee rankings

*Cannot guarantee visibility improvements

*Cannot control reviews left by customers

*Cannot remove legitimate third-party reviews

Clients remain solely responsible for:

*Their public responses

*Their customer service

*Their review interactions

*Their business reputation


11. SUBSCRIPTIONS, PAYMENTS & BILLING

Paid services may operate on:

*Monthly subscriptions

*Setup fees

*One-time fees

*Recurring billing arrangements

By purchasing services, the Client authorises recurring billing where applicable.

Invoices must be paid by their due dates.

Failure to pay may result in:

*Service suspension

*Automation suspension

*Account restrictions

*Access removal

*Termination of services


12. REFUNDS

Unless otherwise agreed in writing:

*All setup fees are non-refundable

*Monthly services are non-refundable

*Partial months are non-refundable

*Digital resources are non-refundable

*Completed work is non-refundable

No refunds will be issued for:

*Failure to use services

*Delays caused by the Client

*Revoked account access

*Platform-related disruptions

*Third-party outages

*Dissatisfaction caused by unmet expectations not expressly guaranteed


13. CANCELLATION

Either party may cancel recurring services with 30 days written notice unless otherwise agreed.

The Client remains responsible for any outstanding balances during the notice period.

The Company may terminate services immediately for:

*Illegal activity

*Non-payment

*Fraudulent conduct

*Violation of these Terms


14. INTELLECTUAL PROPERTY

All systems, automations, workflows, templates, strategies, branding, educational resources, and materials created by the Company remain the intellectual property of the Company unless otherwise agreed in writing.

Clients may not:

*Replicate proprietary workflows

*Redistribute resources

*Copy internal systems

*Claim ownership of Company intellectual property


15. CONFIDENTIALITY

Both parties agree to keep confidential:

*Technical configurations

unless disclosure is required by law.


16. DATA PROCESSING & COMMUNICATIONS

The Client acknowledges that the Company may process:

*Business information

*Lead information

*Customer communication data

*SMS records

*Email records

*CRM records

for the purpose of delivering services.

The Client is responsible for obtaining any legally required customer consent for:

*SMS communication

*Email communication

*Automated messaging

*Marketing communications


17. WEBSITE USAGE

Users of the website agree not to:

*Misuse the website

*Attempt unauthorised access

*Interfere with services

*Copy website materials without permission

*Use the website unlawfully

The Company may restrict or block access at its discretion.


18. THIRD-PARTY PLATFORMS

HomeFix Network is not affiliated with, endorsed by, or officially partnered with any third-party platform referenced within these Terms unless explicitly stated. The Company is not responsible for:

*OpenAI

*Twilio

Third-party platforms may:

*Experience downtime

without notice.


19. LIMITATION OF LIABILITY

Services may occasionally experience interruptions due to maintenance, software issues, third-party outages, or circumstances outside the Company’s control. To the fullest extent permitted by law, the Company shall not be liable for:

*Lost leads

*Lost revenue

*Reputation damage

*Business interruption

*Data loss

*Automation failures

*AI inaccuracies

*Platform outages

*Indirect damages

*Consequential damages

The Client uses all services at their own risk.

The Company’s maximum liability shall not exceed the amount paid by the Client for the affected service during the previous 30 days.


20. HOLD HARMLESS & INDEMNITY

The Client agrees to indemnify and hold harmless the Company, its owners, employees, contractors, and affiliates from any claims, liabilities, damages, losses, or legal actions arising from:

*The Client’s business activities

*Customer disputes

*Advertising claims

*Use of automations

*Use of AI systems

*Platform misuse

*Regulatory violations

*Customer communications


21. NO PARTNERSHIP OR EMPLOYMENT RELATIONSHIP

Nothing within these Terms creates:

*A partnership

*Joint venture

*Employment relationship

*Agency relationship

between the parties.

The Company operates solely as an independent contractor.


22. MODIFICATIONS TO TERMS

The Company may update these Terms & Conditions at any time.

Updated terms become effective upon publication on the website.


23. GOVERNING LAW

These Terms & Conditions shall be governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
