Introduction

By accessing or using AI Agent Warehouse LLC ("Company," "we," "our," or "us") services, websites, software, or AI agents (collectively, the "Services"), you ("Customer," "User," or "you") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you may not use the Services.

Services Provided

We provide a cloud-based automation and AI platform including but not limited to: AI chatbots and voice bots; workflow automation; CRM; website chat; SMS, email, and social integrations; call routing and scheduling; payment processing integrations; reporting and analytics; and affiliate tools. We may deploy proprietary AI agents that access or control third-party systems on your behalf.

2A. Age Requirements

You must be at least 13 years old to use the Services. Users under 18 must have a parent or legal guardian’s permission and supervision.

2B. Beta & Early Access

Some features may be provided as alpha, beta, preview, or otherwise pre-release ("Beta Features"). Beta Features are provided as-is, may change or be discontinued at any time, and are excluded from warranties and indemnities.

2C. Service-Specific Terms

Certain modules (e.g., AI voice agents, payment tools, affiliate modules) may include additional terms in a Service-Specific Addendum, incorporated by reference and applicable when you enable that module.

Subscription & Billing

All Services are billed monthly unless otherwise agreed. Subscriptions renew automatically each billing cycle until canceled.

Automatic Upgrade Add-On

Optional Automatic Upgrades enhance AI or workflow features for $10 per bot per month (or $20 per month for Mega and SaaS plans). Add-ons renew monthly until canceled.

Prepaid Plans & Continuation (Mega Bot)

Prepaid subscriptions are non-refundable after 30 days. At the end of the prepaid term, service automatically continues at the standard monthly rate ($250/month for Mega) using the payment method on file. 6-Month Prepay: 10% discount ($1,350 one-time). 12-Month Prepay: 25% discount ($2,250 one-time). You may cancel anytime before the next billing cycle. The Automatic Upgrade add-on remains active and billed monthly at $20 for Mega plans.

Colorado Auto-Renewal Notice

By subscribing, you authorize automatic renewals and recurring charges until cancellation. We provide 30 days’ advance notice for material changes. You can cancel at any time via your account settings.

Payment Method Authorization

By providing a credit card, debit card, ACH, or other payment method, you authorize AI Agent Warehouse LLC and our payment processor to securely store and automatically charge it for subscription fees (monthly or prepaid), add-ons, reinstatement fees, and other amounts owed. This authorization remains in effect until all balances are paid and the account is canceled. You agree to maintain accurate payment information.

Fair Use & Extreme Usage Protection

Plans are designed for typical small-business use. Medium or large businesses, or accounts with consistently above-average call, SMS, or data usage, may be subject to per-minute, per-SMS, or per-data fees. We may throttle or limit usage, disable features, or terminate service without refund if usage materially exceeds normal levels, threatens system stability, or creates excessive costs. We will attempt to notify you before action unless immediate suspension is required.

Payment Defaults, Late Fees & Reinstatement

Failed payments are retried at approximately 0h → 24h → 72h. Balances 5+ days overdue incur a 20% late fee. Accounts 15+ days overdue may be suspended or terminated. A $199 Reinstatement Fee applies to restore service after nonpayment. We are not liable for business interruption or losses due to suspension/termination for nonpayment.

Chargebacks

Initiating a chargeback without first contacting support may result in immediate suspension. You remain responsible for reasonable collection and recovery costs on delinquent accounts.

Refunds & Cancellations

All fees are non-refundable once processed, except where required by law. You may cancel at any time; service continues through the end of the current billing period.

5A. Communications Compliance (Email/SMS/Voice)

If you send messages via the Services, you must obtain appropriate consent (e.g., TCPA/CTIA), include required opt-out instructions (e.g., “Reply STOP to unsubscribe”), maintain 10DLC registrations, and honor opt-outs promptly. Carriers may block or fine non-compliant traffic; you are responsible for such actions and costs.

Use of AI Agents & Integrations

Our AI agents may interact with third-party platforms using your credentials. You are responsible for ensuring compliance with third-party terms. We are not responsible for errors or damages caused by AI behavior, human input, or third-party system limitations.

6A. No High-Risk Use

The Services are not designed for safety-critical or emergency uses. Do not use where failure could reasonably result in death, personal injury, or severe property/environmental damage.

User Responsibilities

You agree to provide accurate account/billing info, maintain credential security, use Services for lawful business purposes, and not misuse the Services (e.g., spam, fraud, unauthorized access).

Intellectual Property & Restrictions on Use

All software, voice agents, chatbots, automation workflows, knowledge bases, training materials, and other technology provided by AI Agent Warehouse LLC (collectively, the "Company IP") are the exclusive property of AI Agent Warehouse LLC and its licensors. You will not copy, modify, create derivative works, reverse engineer, decompile, or disassemble the Services; clone, duplicate, or repurpose any voice, chat, interaction, or AI output to create competing products; sell, sublicense, or distribute Company IP; use outputs or recordings to train competing models; or remove/alter proprietary notices or branding. Violations may result in immediate suspension or termination without refund and may subject you to damages and injunctive relief.

Outsourcing & Third-Party Delivery

We may outsource, subcontract, or transfer the creation, development, or delivery of any product or service to trusted third-party providers or affiliates. Such outsourcing does not limit or reduce our rights under these Terms.

Errors, Omissions & Limitations

The Services are provided “as is.” We do not guarantee uninterrupted or error-free performance. You acknowledge that both human users and AI agents may make mistakes or misinterpretations.

10A. DMCA Safe Harbor

If you believe content infringes your copyright, send a compliant notice under 17 U.S.C. §512(c)(3) to our Designated DMCA Agent (posted on our website). We will expeditiously remove or disable access upon valid notice and follow the counter-notice process. We maintain a repeat infringer policy.

Limitation of Liability

To the maximum extent permitted by Colorado law: we are not liable for indirect, incidental, or consequential damages; our total liability for any claim shall not exceed fees paid to us in the three (3) months preceding the claim.

11A. Taxes

Fees are exclusive of taxes. You are responsible for sales, use, VAT/GST, and similar taxes (excluding our income taxes). We may charge applicable taxes based on your billing information.

Unless you opt out via email, you grant us a limited, revocable license to use your name and logo to identify you as a customer on our website and marketing materials. No endorsement is implied.

Indemnification

You agree to indemnify and hold harmless the Company, its affiliates, and employees from claims, damages, or expenses arising from your use of the Services, your violation of these Terms, your misuse or attempted replication of Company IP, or your use of AI agents on third-party platforms.

Termination

We may suspend or terminate access if you fail to pay fees, violate these Terms, misuse or attempt to clone Company IP, or engage in unlawful/abusive practices. Termination for these reasons occurs without refund; reinstatement requires written approval and payment of outstanding fees.

Dispute Resolution & Arbitration

Informal Resolution: Before filing a claim, the party seeking relief must send a Notice of Dispute to [email protected] with contact information, a description of the claim, and the relief sought. If unresolved within 30 days, disputes will be resolved by binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. No class actions or representative proceedings. Either party may bring qualifying claims in Colorado small-claims court. You may opt out of arbitration within 30 days of first accepting these Terms by emailing [email protected]. The Federal Arbitration Act governs this section. Hearings may be held by video or in person in Denver, Colorado, unless the arbitrator requires otherwise for fairness.

Governing Law & Venue

These Terms are governed by Colorado law. Any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Eagle County, Colorado.

Changes to Terms

We may update these Terms at any time. Updates are effective upon posting in your account dashboard or our website. We will provide 30 days’ prior notice for material changes where required by law. Continued use after updates constitutes acceptance; if you do not agree, cancel your account

Export & Sanctions Compliance

You represent that you are not located in an embargoed country or on a restricted-party list and that you will comply with U.S. export and sanctions laws (including EAR and OFAC).

Survival, Assignment, Force Majeure, Entire Agreement

Key sections regarding fees, IP, confidentiality, indemnities, limitations, and dispute resolution survive termination. You may not assign these Terms without our consent; we may assign in a merger, acquisition, or asset sale. We are not liable for delays beyond our reasonable control. These Terms, the Privacy Policy, and any Service-Specific Addenda form the entire agreement; if any provision is unenforceable, the remainder remains in effect.
