MBPS - Referral Program Terms and Conditions

These Referral Program Terms and Conditions (the "Agreement") govern the participation in the Referral Program (the "Program") offered by MBPS, LLC, a limited liability company based in Phoenix, Arizona ("Company," "we," "our," or "us"). By participating in the Program, the Referral Partner ("Referral Partner," "you," or "your") agrees to comply with and be bound by these Terms and Conditions.

1. Program Overview

The Company offers a referral program through which you may refer potential clients ("Referrals") to MBPS, LLC. If the Referral enters into a service agreement with MBPS, LLC, the Referral Partner will be eligible for a referral fee as outlined in Section 4 of this Agreement.

2. Eligibility and Approval

To be eligible to participate in the Program, Referral Partners must meet the following requirements:

  • Age Requirement: Referral Partners must be at least 18 years old.

  • Team Interview: Referral Partners must complete a team interview with MBPS, LLC prior to participating in the Program.

  • Registration: Referral Partners must be registered in the MBPS referral program system. Registration includes providing accurate company and personal information and identifying a unique email address that will be used to track and credit the referrals.

Once these requirements are met and the Referral Partner is approved, the Referral Partner will be provided with a unique link to share with the company they are referring or may provide the information directly to an MBPS team member. The referred company will be attributed to the registered Referral Partner based on this unique link or the direct submission to an MBPS team member.

3. Referral Submission

Referral Partners must submit referrals through the referral submission process as described on the Company’s website or any other authorized method as provided by MBPS, LLC. Only referrals that are submitted and approved prior to the Referral Partner’s engagement with the potential client will be eligible for a referral fee.

4. Referral Fees

Referral Partners will be eligible to receive a referral fee based on the first month's recurring fees of the service agreement signed by the Referral. The referral fee will be calculated as follows:

Payment Amount: A fee equal to the first month's recurring fees, subject to the following:

  • Minimum Referral Fee: $75.

  • Maximum Referral Fee: $2,700.

If the Referral’s first month recurring fees do not meet the minimum threshold, the Referral Partner will be paid the minimum fee of $75. If the Referral’s first month recurring fees exceed the maximum threshold, the Referral Partner will receive the maximum fee of $2,700.

5. Client Engagement Requirement

To qualify for the referral fee, the Referral must engage with MBPS, LLC by signing a recurring services agreement with a minimum term of nine (9) months. The referral fee will only be paid after the client has signed the agreement and the first three (3) month’s recurring fees have been successfully paid. The amount of the referral fee earned will be based on the first month’s recurring fees for the term of the agreement.

6. Referral Fee Payment Terms

Referral fees will be paid to the Referral Partner within 90 days following the successful payment of the first month’s recurring fees by the Referral. Payment will be made through the method agreed upon during the approval process.

7. Restrictions

  • The Referral Partner may not refer themselves or any business with which they are directly affiliated.

  • The Referral Partner is not authorized to use the name, trademark, or logo of MBPS, LLC in any advertising, promotional materials, or communications without prior written consent from MBPS, LLC.

  • MBPS, LLC reserves the right to reject any referral submission for any reason, including but not limited to if the referral is not deemed to meet the Company’s criteria or if the Referral Partner is in violation of this Agreement.

8. Program Termination and Modification

MBPS, LLC reserves the right to modify, suspend, or terminate the Program at any time without prior notice. Any modifications to these Terms and Conditions will be posted on the Company’s website. The Referral Partner’s continued participation in the Program after such modifications will constitute their acceptance of the updated Terms and Conditions.

9. No Employment Relationship

Referral Partners are independent contractors and nothing in this Agreement creates an employer-employee relationship between the Referral Partner and MBPS, LLC. Referral Partners are solely responsible for all taxes, benefits, and other obligations arising from their participation in the Program.

10. Confidentiality

Referral Partners agree to maintain the confidentiality of any proprietary or confidential information of MBPS, LLC and its clients that they may receive during the course of the Program. This includes but is not limited to pricing, contracts, and business strategies.

11. Indemnity

Referral Partners agree to indemnify and hold harmless MBPS, LLC and its affiliates, officers, employees, agents, and representatives from any claims, damages, liabilities, and expenses (including attorneys’ fees) arising from the Referral Partner’s breach of this Agreement, including but not limited to any violation of laws or regulations, or any misuse of the Program.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles. Any disputes under this Agreement will be resolved in the competent courts located in Phoenix, Arizona.

12. Limitation of Liability

In no event will MBPS, LLC be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to this Program, even if MBPS, LLC has been advised of the possibility of such damages. MBPS, LLC's liability for any claim under this Agreement shall be limited to the referral fees paid to the Referral Partner.

14. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the Program and supersedes all prior and contemporaneous agreements, whether written or oral, relating to the subject matter hereof.

By participating in the Referral Program, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
