TERMS & CONDITIONS OF SERVICE

These Terms & Conditions ("Agreement") govern the relationship between Gary Rice Productions ("GRP," "we," "us," or "our") and the client ("Client," "you," or "your") for all video production services, consulting, media deliverables, and related services. By signing a contract, submitting payment, completing an inquiry form, or scheduling a discovery call with Gary Rice Productions, you agree to be bound by these Terms & Conditions in their entirety.

 

1. Payment Terms

A non-refundable deposit of 50% is required to secure all production dates unless otherwise stated in writing. The remaining balance is due upon project completion and prior to the release of any final deliverables. Gary Rice Productions reserves the right to withhold final media until payment has been received in full.

 

2. Late Payments

Invoices not paid within 15 days of the invoice date may incur a late fee of 5% per month on the outstanding balance. Client agrees to cover any reasonable collection or legal costs associated with recovering unpaid balances.

 

3. Cancellations & Kill Fees

If a project is canceled after booking, the following fees apply:

       More than 7 days before production: Deposit retained

       3–7 days before production: 75% of total project cost due

       Within 72 hours of production: 100% of production cost due

 

4. Rescheduling

Clients may request to reschedule a production date with at least 72 hours' notice. Rescheduling is subject to availability. One reschedule is permitted at no additional charge. Additional rescheduling requests may require a new deposit to secure the revised production date.

Rescheduled production must occur within 60 days of the original production date. If a new production date is not selected within 30 days of the cancellation, the project may be considered canceled and the deposit will be retained.

 

5. Production Schedule, Minimum Booking & Overtime

Production schedules are based on the agreed production window outlined in the project scope. The Client is responsible for ensuring all required personnel, locations, and materials are ready at the scheduled production start time.

The minimum production booking is two (2) hours unless otherwise agreed in writing. Delays caused by the Client, talent, location access, or other Client-controlled factors that extend production beyond the scheduled timeframe may result in additional charges.

Production time exceeding the agreed window will be billed as overtime at $250 per hour, billed in one-hour increments. Overtime must be approved by the Client representative on-site. Gary Rice Productions reserves the right to end production at the scheduled end time if overtime approval is not granted.

 

6. Safety

Gary Rice Productions reserves the right to terminate production and vacate the location if any member of the production team experiences threatening, hostile, unsafe, or inappropriate behavior. Termination under this clause does not entitle the Client to a refund of any deposits or fees paid.

 

7. Rush Delivery Fees

Standard editing timelines apply unless otherwise agreed in writing. Expedited or rush delivery requests may incur additional fees, which will be communicated and agreed upon prior to execution.

 

8. Scope of Work

The invoice reflects the agreed scope of work. Any additional filming, editing, revisions, or services requested outside the original scope may incur additional charges billed at standard production rates. Any scope changes must be approved in writing by both parties.

 

9. Creative Control

Gary Rice Productions retains full creative control over the production and post-production process, including cinematography, editing style, music selection, color grading, and overall creative direction. Client feedback and collaboration are welcomed, but final creative decisions remain at the discretion of Gary Rice Productions in order to maintain production quality and artistic integrity.

 

10. Revisions

Projects include up to two (2) rounds of revisions unless otherwise stated in writing. Additional revisions beyond the included rounds will be billed at the standard hourly editing rate. Revision requests must be submitted in writing and must be received within the timeframes described in Section 14.

 

11. Usage Rights & Licensing

All photo and video content produced by Gary Rice Productions remains the intellectual property of Gary Rice Productions until payment is received in full. Upon full payment, the Client is granted a non-exclusive license to use the media for agreed marketing, advertising, and promotional purposes as outlined in the project scope.

Raw footage is not included in deliverables unless specifically purchased or agreed upon in writing. Use of the media in paid advertising campaigns, national campaigns, television broadcast, or large-scale commercial distribution may require additional licensing fees. Gary Rice Productions reserves the right to negotiate extended licensing terms based on the scope, reach, and duration of the intended media use.

 

12. Raw Footage & Project Files

Raw footage, project files, and unused media remain the exclusive property of Gary Rice Productions and are not included in standard project deliverables. Delivery of raw footage or project files may be available for an additional fee and requires a separate written agreement.

 

13. Portfolio & Promotional Use

Gary Rice Productions reserves the right to use any produced media for portfolio, website, social media, and promotional purposes unless the Client has submitted a written request to opt out of this use prior to production.

 

14. Client Feedback & Project Completion

Clients agree to provide feedback or revision requests within 14 days of receiving project deliverables. If no feedback is received within this timeframe, the project may be considered approved and complete.

If the Client requests revisions after 30 days of inactivity, Gary Rice Productions reserves the right to charge additional editing fees to reopen the project. Projects inactive for 60 days or more may be considered abandoned, and any remaining balances will become immediately due.

 

15. Client Responsibilities

The Client is responsible for obtaining all necessary location permissions, permits, talent releases, and approvals required for production, unless otherwise agreed upon in writing. Failure to obtain required permissions that results in production delays or cancellation does not entitle the Client to a refund.

 

16. Media Alteration

Gary Rice Productions retains the right to maintain the integrity of delivered media. The Client agrees not to alter, edit, or modify delivered media in a way that misrepresents the original production. If modifications are made by the Client or a third party, Gary Rice Productions shall not be credited for the altered version without prior written consent.

 

17. File Storage & Archiving

Gary Rice Productions will archive project files and media for 90 days after project completion. Long-term storage is not guaranteed beyond this period. Retrieval of archived files after the standard 90-day period may incur additional fees.

 

18. Chargebacks & Payment Disputes

The Client agrees not to initiate payment chargebacks for services rendered. Any disputes must first be submitted in writing directly to Gary Rice Productions to allow for a reasonable resolution. Gary Rice Productions reserves the right to pursue collection for any costs incurred as a result of an improper chargeback.

 

19. Limitation of Liability

Gary Rice Productions shall not be liable for delays, failures, or damages caused by circumstances beyond reasonable control, including weather, equipment malfunction, location restrictions, acts of God, or other unforeseen events. Liability is limited to the total amount paid by the Client for the services rendered.

Carrier Liability Disclaimer:

Gary Rice Productions is not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your mobile carrier.

 

20. SMS & Text Message Communications

Gary Rice Productions uses automated and manual text messaging through our CRM platform (GoHighLevel) to communicate with clients and prospective clients. By providing your mobile phone number through any form, booking page, or inquiry submission, you consent to receive SMS text messages from Gary Rice Productions.

Age Restriction:

By opting in, you confirm that you are 18 years of age or older.

 

20.1 Types of Messages

You may receive the following types of messages:

       Appointment reminders and booking confirmations

       Discovery call follow-ups and no-show re-engagement messages

       Project status updates and delivery notifications

       Promotional content, lead magnet delivery, and marketing communications (with consent)

 

20.2 Consent

By submitting your mobile number through our contact forms, booking links, or any inquiry channel, you provide express written consent to receive text messages from Gary Rice Productions. Consent is not a condition of purchasing any service.

 

20.3 Message Frequency

Message frequency will vary based on your project status, scheduled appointments, and marketing opt-ins. You may receive multiple messages per week during active projects or campaign periods.

 

20.4 Opt-Out Instructions

You may opt out of SMS communications at any time by replying STOP to any message from Gary Rice Productions. You will receive a single confirmation message upon opting out and will receive no further marketing texts unless you re-opt in. Transactional messages related to an active project or contractual obligation may still be sent where required.

 

20.5 Help

Reply HELP to any message for assistance, or contact Gary Rice Productions directly through the contact information provided in this Agreement.

 

20.6 Message & Data Rates

Standard message and data rates may apply based on your mobile carrier plan. Gary Rice Productions is not responsible for any charges incurred from your wireless provider.

 

20.7 No Third-Party Sharing of Opt-In Data

Your phone number and SMS opt-in information will not be sold, rented, or shared with third parties for their own marketing purposes. This data is used exclusively by Gary Rice Productions and our contracted service providers to deliver the communications described above.

 

21. Privacy Policy

Your use of Gary Rice Productions services and your submission of personal information are governed by our Privacy Policy, which is incorporated into these Terms & Conditions by reference. Our full Privacy Policy can be reviewed at:

The Privacy Policy describes how we collect, use, and protect your personal information, including information collected through our website, inquiry forms, CRM platform, Meta advertising, and SMS communications.

 

22. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Florida. Any disputes arising from services provided by Gary Rice Productions shall be resolved within the jurisdiction of the courts of the State of Florida.

 

23. Entire Agreement

This Agreement, together with any signed proposal, invoice, or contract, constitutes the entire agreement between the parties and supersedes all prior negotiations, discussions, or agreements, whether written or oral. Payment of any invoice issued by Gary Rice Productions constitutes acceptance of these Terms & Conditions.
