Agency Flow AI provides consultancy and implementation services for marketing agencies, including but not limited to:

Automation of client onboarding processes

Automated reporting dashboards

AI-powered client communication portals

Training, SOPs, and support services

We may update, expand, or modify our Services at any time without prior notice.

3. Eligibility

You must be at least 18 years old to use our Site and Services. By using our Services, you confirm that you meet this requirement and have the authority to bind any business entity you represent.

4. Payment Terms

All fees for Services are quoted in U.S. dollars unless otherwise stated.

Payment terms are outlined in your proposal or contract.

Build & Release packages typically include one-time setup fees plus limited support.

Build & Manage packages include setup fees and recurring monthly payments.

Payments are due as specified in the invoice. Late payments may result in suspension of Services.

5. Client Responsibilities

To enable us to deliver Services effectively, you agree to:

Provide timely access to required accounts, assets, and data.

Ensure your staff attends training sessions where necessary.

Maintain any internal systems or software integrations not covered by our scope.

Failure to provide requested information may delay delivery and is not the responsibility of Agency Flow AI.

6. Intellectual Property

All content, systems, and documentation created by Agency Flow AI remain the property of Agency Flow AI until full payment is received.

Upon full payment, you are granted a non-exclusive license to use the deliverables for your internal business operations.

You may not resell, distribute, or sublicense our systems or intellectual property without prior written consent.

7. Confidentiality

Both parties agree to keep all non-public information received from the other party confidential and not disclose it to third parties without consent, except as required by law.

8. Warranties and Disclaimers

Agency Flow AI does not guarantee specific financial results, client retention, or business growth from using our Services.

While we aim for reliable automation, no system is error-free. We are not liable for third-party platform outages, changes, or failures.

Services are provided “as is” without warranties of any kind, either express or implied.

9. Limitation of Liability

To the fullest extent permitted by law:

Agency Flow AI shall not be liable for indirect, incidental, or consequential damages.

Our total liability under these Terms shall not exceed the total fees paid by you for Services in the three months preceding the claim.

10. Termination

Either party may terminate the agreement with 30 days’ written notice.

We may terminate immediately if you fail to pay, misuse Services, or breach these Terms.

Upon termination, you remain liable for all fees incurred prior to the termination date.

11. Governing Law

These Terms are governed by and construed under the laws of the State of New York, United States. Any disputes will be subject to the exclusive jurisdiction of the courts located in New York County, New York.

12. Changes to Terms

We may update these Terms from time to time. Any changes will be posted on this page with an updated effective date. Your continued use of our Site or Services constitutes acceptance of the revised Terms.
