Introduction

Welcome to Vignita! By using our website and services, you agree to these rules ("Terms"). Vignita AS ("The Supplier") provides online tools to help you learn and work together. These Terms are a contract between you ("The Customer") and Vignita. These Terms may be updated from time to time. We will let you know about major changes by email or on our website. Changes will take effect immediately after they are published.

1. Definitions

  • Supplier Products: Online tools you can use on Vignita's website.

  • User: Anyone using Vignita's services, either as part of a company or on their own.

  • Content Provider: Someone who makes training materials and shares them through Vignita.

  • Customer: The company or person that signs up to use Vignita's services.

  • Supplier Services: Help and consulting related to the Supplier Products.

2. Scope of the Agreement

These Terms cover all the services Vignita provides. They include how you can use our products, what it costs, and any extra rules for using our services.

3. User Rights and Responsibilities

Users need to keep their accounts up to date, use the services responsibly, and follow all rules. Sharing content you don’t have permission for or using the services in harmful ways can lead to your account being suspended. Users are not allowed to try to figure out the source code or break down any part of Vignita's products.

4. Services Provided by Vignita

Vignita provides a variety of tools to help companies and users manage learning, share skills, and collaborate effectively. Every user in Vignita has their own competence profile, which they can share with others. Additionally, each company has the option to enable a public company profile, which helps showcase their expertise and available learning opportunities. Here are some feature examples.

  • Training Module: Create, organise, and run training sessions, including online courses, tests, and certificates.

  • Calendar Module: Track training events, see who is participating, and manage tickets.

  • Learning Environments: Create and sell your training materials as either a subscription or individual items. You can also resell content from other companies. It is also possible to offer free learning environments.

  • Contacts Module: Manage users, track their progress, and handle compliance. It can also act as a CRM for managing relationships.

  • Messages Module: Send messages and share files between users, groups, and companies.

  • Company Module: Set special terms for different clients, apply discounts, and manage customer relationships.

  • Groups Module: Organise your employees into groups and create learning plans for them. This is much more efficient than making a training plan for each employee individually. It also simplifies monitoring compliance for groups and the whole company.

5. Subscription and Pricing

Vignita has different subscription plans that can be paid monthly or annually. Prices may be changed at any time if needed, including adjustments based on the Norwegian Consumer Price Index. Customers can upgrade their plans or add more licences, which may have extra costs. Prices do not include value-added tax (VAT). Norwegian companies will be charged MVA (VAT). If your company is outside of Norway, you are responsible for following your own taxation rules. Vignita may check to make sure you are following the terms of your subscription.

6. Availability and Service Levels

Vignita tries to make sure our tools are available 99.9% of the time, except for scheduled maintenance. We will aim to let you know at least 7 days in advance about any maintenance, which will be done outside of busy times. If we do not meet the availability promise, we may give a discount ranging from 10% to 25% of that month’s fee. Support for urgent problems is available within one hour.

7. Data Ownership and Privacy

You keep ownership of all data you use in Vignita. Vignita will protect your data according to our best abilities and make sure it stays private. We will follow data protection laws and take steps to keep your information safe. We may also check how services are being used to ensure rules are followed, and any findings will be kept confidential. If you are in breach of the Intellectual Property Act, we will have the right to address this and treat it according to the law.

8. Intellectual Property Rights

Vignita owns all rights to our tools, technologies, and content. Customers cannot try to copy, reverse-engineer, or create competing products using Vignita’s services. You can use our products only for their intended purposes. No rights are transferred to you unless we agree in writing, and such agreement must be in contractual form.

9. Support and Administration Services

Support is available through email, chat, and phone during office hours (08:00-16:00 CET). We aim to handle requests within 24 hours on business days. There are no penalties if we take longer than expected.

10. Liability and Limitation of Liability

Vignita's services are provided "as is." We are not responsible for any damages that may occur whilst using our services. Our total liability is limited to the subscription fees paid during the relevant period. We are not responsible for indirect losses, like lost profits, data, or missed business opportunities.

11. Termination

Customers can cancel their subscription by giving six months' notice before the renewal date. Vignita can also end your account if you do not follow the rules. Once the subscription ends, you will lose access to Vignita’s tools and your data. There are no refunds for early cancellations.

12. Confidentiality

Both Vignita and the Customer must keep any sensitive information secret and cannot share it without permission, unless required by law.

13. Choice of Law and Dispute Resolution

These Terms are governed by Norwegian law. If there is a disagreement, we will first try to solve it through discussions. If that doesn’t work, the issue will be taken to court in Norway.
