Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the websites, platforms, products, and services provided by GlowTech Industries LLC, doing business as GlowTech Digital Solutions (“GlowTech,” “Company,” “we,” “us,” or “our”).
By accessing or using our services, you (“Client,” “Customer,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use or access the services.
1. Definitions
1.1 Account
An online or internal account created by you to access certain GlowTech services, subscriptions, or features.
1.2 Services
“Services” include, but are not limited to:
• Digital signage and GlowScreens advertising
• Ad placement, scheduling, and rotation
• Creative and design services
• Content formatting and QR code integration
• Business visibility consulting and strategy guidance
• Business Wellness Checkups
• AI-assisted support, automation, and content enhancement
• Subscription-based Glow Plans
• Business event visibility packages
• Technical setup, onboarding, and client support
1.3 Content
All creative assets submitted or approved by the client, including text, images, logos, videos, audio, branding materials, and advertising media.
1.4 User
Any authorized individual acting on behalf of the client under the client’s account.
1.5 Subscription
A recurring monthly, quarterly, or annual billing plan for ongoing GlowTech services.
2. Access and Use
2.1 Limited License
GlowTech grants you a limited, non-exclusive, non-transferable license to access and use the Services for lawful business purposes during your active agreement or subscription term.
2.2 Prohibited Use
You may not:
• Use the Services for unlawful, fraudulent, or deceptive activity
• Upload harmful, defamatory, hateful, infringing, or inappropriate content
• Attempt to bypass, disrupt, or interfere with GlowTech systems
• Reverse engineer, copy, or resell any GlowTech Service without written consent
• Misuse Services in a manner that harms GlowTech, venue partners, or third parties
2.3 Account Responsibility
You are responsible for maintaining the confidentiality of your account login details and all activity that occurs under your account.
3. Service Delivery
3.1 Completion of Services
Services are considered delivered once:
• Ads are displayed or scheduled
• Creative files are provided
• Access to a subscription or tool is granted
• A business event or community announcement placement is completed
GlowTech is not responsible for whether or how the client utilizes delivered services.
3.2 Scope of Services
A. Digital Advertising Services (GlowScreen Network)
Services may include:
• Display of static or motion ads in approved formats
• Scheduled ad rotation per the selected Glow Plan
• Standard or premium placement
• Daily plays/impressions based on plan
• Multi-screen campaign options
• QR-enabled tracking for eligible plans
• Basic or premium analytics
• Content compliance review
All advertising is subject to GlowTech Community Guidelines, Content Standards, and Technical Specifications.
B. Creative & Design Services
Creative support may include:
• Flyer-to-screen conversions (vertical, landscape, or square)
• Complimentary host-venue ad design
• QR code integration
• Revisions as defined in the applicable Glow Plan
• Premium design upgrades or outsourced design work
Clients must provide timely approvals, accurate information, and brand assets.
C. Business Visibility & Consulting Services
GlowTech offers optional clarity-building and strategy-focused support, including:
1. Business Wellness Checkup
A personalized assessment that may include:
• Review of branding, messaging, and online presence
• Organization support for internal systems and workflows
• Non-legal guidance on LLC setup steps
• Visibility and marketing recommendations
• Follow-up support and action steps
2. Visibility & Marketing Consulting
May include:
• Recommendations for ad strategy and Glow Plan selection
• Messaging refinement and content feedback
• Practical visibility guidance for small businesses, creators, and professionals
These services are not agency-level marketing, legal, or financial services.
D. AI-Assisted Virtual Services
GlowTech may use AI tools to enhance:
• Written content and messaging
• Ad text suggestions
• Client communication
• Workflow automation
• Administrative setup and CRM organization
AI output is reviewed by GlowTech and used only to streamline service.
E. Business Event + Visibility Packages
Event-based visibility packages may include:
• On-site GlowScreen rotation during pop-up or vendor events
• Promotion for participating vendors and sponsors
• Event-specific creative support
• Multi-brand rotation or featured visibility
• Optional photography or digital recap add-ons
These packages are separate from monthly Glow Plans unless explicitly bundled.
F. Service Limitations
GlowTech does not provide:
• Legal, tax, or financial advice
• Guaranteed sales, impressions, foot traffic, or engagement
• Refunds for unused services due to client delay
GlowTech may update or refine service offerings at any time.
3.3 No Guaranteed Results
GlowTech guarantees placement and display of ads but does not guarantee:
• Customer traffic
• Lead generation
• Revenue or sales
• Viewer behavior
• Visibility outcomes
Advertising results vary due to numerous factors beyond GlowTech’s control.
3.4 Client Cooperation
Clients must provide all required content, approvals, and information in a timely manner.
4. Payments, Fees & Subscriptions
4.1 Fees
All fees must be paid as stated at purchase or within your agreement.
4.2 Subscription Renewals
All Glow Plans automatically renew until canceled.
4.3 Cancellation Policy
Month-to-Month Plans (Starter Glow & Basic Glow):
• Cancel any time before the next billing date
• Cancellations must be submitted 48 hours prior
• No refunds once the billing cycle begins
Commitment-Based Plans (Glow Up & Corporate Glow):
• Require a minimum six-month term
• No early cancellation
• No refunds for unused time
4.4 Upgrade Policy
• Plans may be upgraded at any time
• Upgrades take effect on the next billing cycle
• Requests should be submitted at least 7 days before renewal
4.5 No Refund Policy
Once an ad is uploaded, approved, scheduled, or displayed on any GlowScreen, all sales are final.
4.6 Late Payments
GlowTech may pause or remove content from rotation for non-payment.
5. Termination
GlowTech may suspend or terminate services if you:
• Violate these Terms
• Submit unlawful or infringing content
• Fail to pay fees
• Pose legal, reputational, or operational risk
Termination does not eliminate payment obligations.
6. Content & Intellectual Property
6.1 Client Content License
You retain ownership of your content but grant GlowTech a license to use it solely for delivering services.
6.2 GlowTech Intellectual Property
All systems, software, screen layouts, methods, designs, and materials remain GlowTech property.
6.3 No Transfer of Ownership
Use of the services does not transfer ownership of GlowTech technology or media assets.
6.4 Digital Services & Licensing
All digital placements and campaign access are licensed for the duration of your plan and may not be resold, redistributed, or repurposed.
6.5 Creative Work Ownership & Client License
All creative materials produced by GlowTech remain GlowTech intellectual property.
Clients receive a perpetual, non-exclusive, non-transferable license to use the designs for their own marketing channels only.
6.6 Outsourced Creative Work
GlowTech may use third-party creative contractors. Ownership and licensing remain consistent regardless of production source.
7. Copyright & Licensing Responsibility
7.1 Advertiser Responsibility
You affirm that you own or have licensed all materials submitted to GlowTech.
7.2 GlowTech Liability
GlowTech:
• Is not responsible for copyright violations in client content
• Will remove infringing content without refund
• May pause campaigns until corrected files are submitted
Indemnification
You agree to indemnify GlowTech and its venue partners against all claims related to unauthorized or infringing content you submit.
8. Disclaimers & Limitation of Liability
Services are provided “AS IS” and “AS AVAILABLE.” GlowTech does not warrant uninterrupted service, performance levels, or suitability for any particular outcome.
To the fullest extent permitted by law, GlowTech’s total liability shall not exceed the amount paid by you in the six (6) months preceding any claim.
9. Confidentiality
Both parties agree to protect confidential information and only use it as needed to perform services.
10. Data Privacy
All use of services is subject to GlowTech’s Privacy Policy. You must have lawful rights to any personal data you provide.
11. Third-Party Services
GlowTech is not responsible for third-party tools, platforms, or providers integrated with or referenced by our services.
12. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania.
13. Modifications
GlowTech may update these Terms at any time. Continued use of services confirms acceptance of the revised Terms.
