Term Sheet Battle: The Archive (2011–2013)

From 2011 to 2013, Aery Advisors created and produced Term Sheet Battle™, a focused two-hour live “edutainment” show designed to demystify venture capital negotiations. The program, built upon an earlier one-day concept co-created by Brad Furber in Seattle during the DotCom era (1995–2003), brought dealmaking from the private boardroom to the public stage.

The series featured leading local entrepreneurial founders, funders, and intermediaries debating deal terms in real-time. Sponsored by leading accelerators and law firms, the show toured Northern Europe for more than a dozen events. Our goal was to bridge the experience and knowledge gap between seasoned venture capitalists and entrepreneurs, focusing debates on crucial topics: valuation, creative and financial controls, and corporate governance.

Today, we have preserved the original footage, photos, and documents in this historical archive. This collection offers valuable insights into negotiation fundamentals that remain relevant for founders and funders.

Term Sheet Battle returned to Berlin for an encore performance. An open event for anyone interested in peeking behind the curtains to see how seed stage financing are negotiated between seasoned VC investors and successful startup CEOs, including experienced corporate/securities lawyers. This event was timed to strategically integrate both Tech All Stars Berlin 2013, and the inaugural Angelbootcamp program (created by Startupbootcamp).

Term Sheet Battle returns to Sweden, although this was the first time Stockholm entrepreneurs and investors experienced it. Martin Hauge of Creandum and Christian Jepsen of Sunstone Capital battled it out as a VC tag-team vs Martin Källström of Memoto and Martin von Haller Groenbaek of Bird & Bird. Wrapp hosted the event in their offices, and the TSB afterparty on Wrapp's outdoor decks blew through the stroke of midnight almost through to light of day. Cool Stockholm showed why it is one of the Hot tech centers in Europe!

Helsinki came forth and concurred! Artic Startup and Startupbootcamp blew the horn, and a large audience assembled to view the first Term Sheet Battle in Finland at Apollo Live Club. With a fine cast consisting of seasoned entrepreneur/CEO, Micke Paqvalén (Kiosked), represented by a veteran corporate/securities lawyer, Kimmo Reina (Bird & Bird), and two of the Nordic regions top VC investors, Jimmy Fssing Nielsen (Sunstone) and Daniel Blomquist (Creandum), the show delivered on its promise to open the curtains and demystify the negotiation of a seed stage financing of a hot tech startup.

DTU Fotonik took the initiative of organizing the event and assembling a first rate cast and program. Manga Tak, Monika Luniewska for being the Whip, and Soren Holmark, Jens Broeng and Ole Kring, for going above and beyond the call of duty to create a unique Term Sheet Battle program, sharing knowledge and experience successfully spinning out and commercializing research institution IP and know-how outside academic ivory towers.

Term Sheet Battle came to Berlin for the first time, sponsored by the Startupbootcamp Berlin organization. Local startup entrepreneur Magdalena Boettger (Look Mommy!) stepped up, without the assistance of a lawyer at her side, to face seasoned VC Bernhard Schmid (Partner at XAnge Private Equity). it proved to be a tough battle for the entrepreneur, as the VC stood firm with "industry standard" points/arguments. LeWeb London 2012

They auditioned many, but selected: Jason Ball to play “The Investor”, Jens Lapinski to play “The Entrepreneur” & Tina Baker to play “The Lawyer” in a term sheet battle of wits during the 2012 London LeWeb event (organized in conjunction with the first Tech All Stars event). The London cast showed their "been there, done that" experience, and the conversation resembled those that might be had across the Atlantic in another common law jurisdiction.

Term Sheet Battle came to The Netherlands in early June 2012, sponsored by the Startupbootcamp Amsterdam team and host Het Werktheater. 100+ startups, and a bevy of investors and service providers, filled the hall to witness one of Amsterdam's top gaming entrepreneurs, Reinout to Brake, face off seasoned dealmaker, Ron Belt. Both sides were ably represented by counsel Ayolt Zoer and Goerg van Daal. The program was well-received by the audience and local press. And the afterhour social session facilitated a lot of substantive discussions and networking.

Moll Wendén Law Firm

Sweden’s first Term Sheet battle was held Thursday March 1st 2012, at the Moll Wendén Law Firm in Malmo. Coming over "The Bridge" from Copenhagen, seasoned VC investor Jimmy Fussing Nielsen squared off against two of Sweden's best and brightest entrepreneurs/angels, Hampus Jakobsson and Carl Silberski.
