Nova belongs to REGS. Nova — THE Agent Operating System — and everything that makes it work (architecture, dashboards, automation, tags, workflows, templates, training frameworks, reporting logic, and the Nova domain) are owned exclusively by Real Estate Growth Solutions Coaching Ltd. (REGS).
Your data vs Nova Data. You own the content you upload (your contacts, listings, messages). REGS owns platform-level assets and aggregated system data (“Nova Data”). REGS may use anonymized/aggregated data to improve the product.
Partners are licensees, not owners. Partners and distributors may be licensed to commercialize or resell Nova under written agreements, but licensing or operational support does not create ownership or joint ownership in Nova.
No implied ownership. Contributing content, participating in training, or helping with hosting/marketing does not give anyone intellectual property rights in Nova unless a written agreement expressly says so.
Legal protections. REGS enforces its IP rights, and partner agreements include additional protections (non-solicit, non-disparage, survival clauses, dispute resolution). Enterprise partners and customers may request the full commercialization documents by contacting legal.
1. Definitions
For purposes of this page:
“Nova” means the proprietary infrastructure system known as Nova — THE Agent Operating System, including but not limited to its architecture, dashboards, automation logic, tagging structures, workflow sequencing logic, implementation methodology, Nova-specific training frameworks, reporting logic, system configurations, product roadmap, code, documentation, templates, and training materials.
“Nova IP” means all intellectual property rights in Nova.
“Nova Data” means platform-level system data and aggregated or anonymized data, system training content, templates, benchmarks and other Nova-level data sets.
“REGS” means Real Estate Growth Solutions Coaching Ltd.
2. Ownership
Exclusive ownership. Nova, Nova IP and Nova Data are and shall remain the exclusive property of REGS. REGS asserts and reserves all rights, title and interest in and to Nova and Nova IP. Nothing on this site or in any commercial or distribution activity creates joint ownership, derivative ownership, or any form of ownership by any other party.
No implied rights from contributions. Any contribution, assistance, marketing support, hosting, billing, coaching delivery, or other commercial cooperation by third parties (including partners and channel distributors) shall not create any ownership interest in Nova IP or Nova Data unless an express written agreement with REGS so provides.
3. Licenses & Partner Rights
Limited licenses. Where REGS grants a license to a partner, reseller or distributor, that license is limited, non-exclusive (unless expressly stated otherwise), and subject to the terms of the relevant written agreement. Distribution, billing or hosting responsibilities do not convert a partner’s role into an ownership interest in Nova.
Partner obligations. Commercial agreements with partners include protections for REGS’ IP, data governance, non-solicit, non-disparagement, audit rights, and survival of key provisions after termination. Partner commercial documents also set out revenue share, billing control and dispute resolution.
4. Customer Rights, Nova Data & Use
Customer content. Customers retain ownership of Customer Content (contacts, listings, messages, files and similar). By using the Service, customers grant REGS a limited license to host, store, back up, transmit and display Customer Content for the purpose of delivering the Service.
Nova Data. REGS owns Nova Data. REGS may use aggregated, de-identified or anonymized data derived from the Service for product development, analytics, benchmarking, AI and model training, and other lawful business purposes. Such use will be consistent with the Privacy Policy and any applicable data processing agreements.
5. Restrictions & Prohibited Actions
Customers and partners shall not:
(a) copy, reproduce, modify, create derivative works of, distribute or publicly display Nova IP;
(b) reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying structure of Nova;
(c) remove, alter or obscure REGS’ proprietary notices; or
(d) claim any ownership rights in Nova or Nova IP.
Violations may prompt injunctive relief, damages, account suspension and other available remedies.
6. Enforcement & Remedies
REGS enforces its IP and contractual rights vigorously. In addition to injunctive relief and damages, commercial agreements provide audit rights, survival of key provisions, and remedies for breach, including non-payment, misuse of IP, and attempted ownership drift. Injunctive relief may be sought for threatened or actual infringement or misuse of Nova IP.
7. Trademarks & Brand Usage
All trademarks, trade names, logos and service marks used on this site (including Nova marks and the domain NovaForAgents.com) are proprietary to REGS or its licensors. Use of any REGS trademark requires prior written authorization.
8. Confidentiality & Survival
Confidential information shared in the course of commercial partnerships is protected by confidentiality obligations. Provisions relating to ownership, data, non-solicit, non-disparagement, dispute resolution and injunctive relief shall survive termination of any commercial agreement.
9. Governing Law & Dispute Resolution (partners)
REGS’ commercialization and commercial operations agreements specify Alberta, Canada as governing law, include an initial thirty (30) day executive negotiation period, mandatory mediation in Alberta, and final binding arbitration in Alberta if mediation fails. Customers and enterprise partners should consult the relevant agreement for the precise dispute resolution process that applies to their relationship.
10. DMCA / Infringement Reporting
Copyright claims. If you believe material on this site or delivered via the Service infringes your copyright, please send a written notice to [email protected] containing: identification of the copyrighted work, identification of the material alleged to be infringing and its location, your contact information, a good-faith statement, and a signature. For Counsel (internal note)
This page is intended to reflect the following contractual features: (1) exclusive ownership of Nova IP and Nova Data by REGS; (2) express statement that contributions/hosting/co-marketing do not create ownership; (3) limited license models for partners; (4) partner protections (non-solicit, non-disparage, audit rights, survival); (5) Alberta governing law with the 30-day executive negotiation / mediation / arbitration ladder; and (6) standard IP enforcement remedies. Please confirm final wording and whether any partner-specific carve-outs (for example, licensed field of use, sublicensing rights, or trademark co-use) should be publicly summarized or redacted.
