Welcome to Pro Demo AI (“Company,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our website at prodemo.ai (the “Site”), our software, products, and related services (collectively, the “Services”).

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use our Services. By using our Services, you represent that you meet these requirements.

3. Services Overview

Pro Demo AI provides an AI-powered demo booking system for B2B SaaS companies. Our Services include:

AI-driven outreach, qualification, and scheduling.

CRM and calendar integrations.

Performance-based pricing (pay per booked and qualified demo).

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

4. Pricing & Payment

Setup Fee: $3,000 one-time setup fee (non-refundable).

Per-Demo Pricing: $50–$100 per qualified demo that meets agreed criteria.

Payment: Fees are billed via invoice or secure payment gateway and must be paid in U.S. dollars.

Late Payments: Overdue balances may accrue interest at 1.5% per month or the maximum permitted by law.

We reserve the right to suspend Services for non-payment.

5. Performance Guarantee

We guarantee only qualified demos that meet the criteria defined during onboarding will be billed. “Qualified demos” are determined based on your ICP (ideal customer profile) and mutually agreed qualification requirements.

We do not guarantee revenue, sales, or business outcomes beyond the booked demos.

6. User Responsibilities

By using our Services, you agree to:

Provide accurate business and billing information.

Use the Services only for lawful purposes.

Not misuse, copy, or resell our system, software, or workflows.

Ensure compliance with applicable data privacy and marketing laws when handling prospect information.

7. Intellectual Property

All content, software, processes, and materials related to Pro Demo AI are owned by us or licensed to us. You are granted a limited, non-transferable license to use the Services solely for your internal business purposes.

You may not copy, modify, distribute, reverse-engineer, or exploit any part of our intellectual property without written consent.

8. Confidentiality

We may access and handle your business information for the purpose of delivering Services. Both parties agree to keep all confidential information secure and not disclose it to third parties except as required by law.

9. Data & Privacy

We collect and process information in accordance with our Privacy Policy. By using our Services, you consent to such collection and processing.

We comply with GDPR, CCPA, and other applicable data protection laws to the best of our ability.

10. Disclaimers

The Services are provided “as is” and “as available.”

We do not warrant that the Services will be error-free, uninterrupted, or produce specific revenue outcomes.

You acknowledge that business results depend on multiple external factors beyond our control.

11. Limitation of Liability

To the maximum extent permitted by law, Pro Demo AI shall not be liable for:

Indirect, incidental, or consequential damages.

Loss of profits, revenue, data, or business opportunities.

Any claim exceeding the total fees you paid us in the three (3) months prior to the event giving rise to liability.

12. Indemnification

You agree to indemnify and hold harmless Pro Demo AI, its officers, employees, and partners from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

13. Termination

We may suspend or terminate your access to the Services if you breach these Terms, fail to pay fees, or misuse our system. You may terminate at any time with written notice, but no refunds will be provided for the setup fee or any completed demos.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New York, United States. Any disputes will be resolved exclusively in the state or federal courts located in New York County, New York.

15. Changes to Terms

We reserve the right to update these Terms at any time. Updates will be effective upon posting to prodemo.ai. Continued use of the Services constitutes acceptance of the updated Terms.
